VISTOSO TRAILS NATURE PRESERVE
TRAILHEAD
TEMPORARY RIGHT-OF-ENTRY
OV 132, LLC, an Arizona limited liability company (Grantor”) does hereby grant to the
Town of Oro Valley, a political subdivision of the State of Arizona (“Grantee”) a right to
enter the existing paved parking lot located at 945 through 955 W. Vistoso Highlands
Drive, Oro Valley AZ, Pima County Parcel Number 219-19-1910 (the “Property”), for
the purpose of providing a temporary public trailhead for access to the Vistoso Trails
Nature Preserve until such time as an alternate trailhead is constructed, or Grantor
notifies Grantee at least 30 days in advance that the Property is no longer available for
Grantee’s use as a trailhead, whichever occurs first.
Grantee agrees to indemnify, defend, and hold harmless, the Grantor and its agents,
representatives, officers, directors, officials and employees from and against all claims,
damages, losses and expenses (including but not limited to attorney fees, court costs, and
the cost of appellate proceedings), relating to, arising out of or alleged to have resulted
from utilization of the Property as a temporary public trailhead and for access to the
Vistoso Trails Nature Preserve.
Grantor may continue to use the Property for any purpose that does not conflict with the
terms of this Right-of-Entry.
