INGRESS/EGRESS EASEMENT
For valuable consideration Pima County, a political subdivision of the State of
Arizona("Grantor"), grants unto the Town of Oro Valley Municipal Property
Corporation, an Arizona non-profit corporation("Grantee"), an easement for
ingress/egress over that certain tract of land(the "Easement Area") situated in
Pima County, Arizona and more particularly described as follows:
SEE ATTACHED EXHIBIT "A"
CONDITIONS:
1. Grantor agrees that the easement is for the sole purpose of ingress/egress for the
maintenance and operation of Grantee's well sites identified as Pima County
Assessor parcel numbers 223-02-0300,220-04-007B &220-04-006E as shown on
attached Exhibit"A".
2. If at any time hereafter the Easement Area is abandoned by the Grantee, it shall
revert to the Grantor, or to the successors in interest of the Grantor, and all right,
title, interest or claim existing by virtue and authority of this instrument shall be
extinguished.
3. The Easement Area shall be maintained in such a manner as to preserve existing
vegetation and maintain the natural land characteristics to the extent possible.
Grantee shall not pave the Easement Area.
4. Grantee shall be responsible maintenance of the Easement Area and any
associated costs. Any repairs or modifications of the easement shall be submitted
to and approved by Grantor prior to the start of construction.
5. This ingress/egress easement includes the Grantee's right of 24 hour keyed access
through two (2) existing ates within the Grantor's linear park which are in the '
closest proximity to Grantee's well sites.

6. Grantor retains all rights for the use of Grantor's property not inconsistent with
Grantee's rights in this easement.
