For and in consideration of the sum of Three Thousand Sixty Five Dollars and Forty Eight
Cents ($3,065.48) and other valuable consideration, FIDELITY NATIONAL TITLE AGENCY,
INC., an Arizona corporation, as Trustee under Trust No. 50064 ("Grantor"), grants unto THE
TOWN OF ORO VALLEY, a municipal corporation of the State of Arizona ("Grantee"), an
easement for the construction and maintenance of a slope and drainage way, including but not
limited to drainage improvements over, under and across the real property described on Exhibit "A"
attached hereto and by this reference incorporated herein (the "Property").
This easement is subject to the following terms and conditions:
1. Grantee shall have the right to construct a slope and drainage way on the above-
described property, together with the right to construct and maintain improvements
within the Property and to enter upon the Property for the purpose of maintaining the
easements and its improvements located thereon.
2. Nothing herein contained shall be construed as granting title to the land belonging to
the Grantor.
3. The Grantor may use the land area of the slope and drainage easement for any
purpose not inconsistent with the Grantee's purpose of said easement. The natural
or existing contours of the easement, as constructed by Grantee in the purpose of the
grant hereof, shall not be excavated, filled or altered without the prior approval of the
Grantee.
4. If at any time hereafter the easement is abandoned by the Grantee, it shall revert to
the Grantor or to the successors in interest of the Grantor, and all right, title, interest
or claim existing by virtue and authority of this instrument shall be extinguished.
5. All grants,covenants and conditions of this easement shall inure to the benefit of and
be binding upon the successors-in-interest to the Grantee and Grantor.
6. It is understood and agreement that this easement is only for the purpose of the
construction and maintenance of the roadway slopeg wa and drainage adjacent to La

Canada Drive and not for recreation or other use by the general public.
