RIGHT OF WAY EASEMENT

HALLE PROPERTIES, L.L.C., an Arizona limited liability company (hereinafter
referred to as "Grantor"), hereby grants to N/A SADDLE RIDGE-38, a California general
partnership, its successors and assigns (hereinafter referred to as "Grantee"), a one-foot easement
and right of way to construct, use, maintain, operate, alter, add to, repair, replace, reconstruct,
inspect and remove at any time and from time to time electric lines and appurtenant facilities for
the transmission and distribution of electricity, in, over, under, across and along that certain real
property described as follows:
SEE EXHIBIT A ATTACHED HERETO AND BY THIS REFERENCE MADE A PART
HEREOF.
Grantor agrees for itself, its successors an assigns, not to erect, place or maintain, nor to
permit the erection,placement, or maintenance of any building, landscaping, earth fill, walls or
fences upon the above herein described easement, which would impair the repair, maintenance or
removal of any or all of the facilities. All systems installed by Grantee in and upon the above
described easement and right of way shall remain the personal property of the Grantee and shall
not be deemed a part of the realty.
Grantee and its contractions, agents and employees shall have the right to trim or top such
trees and to cut such roots and remove such obstacles that could endanger or interfere with said
systems and shall free access to said systems and every part thereof, at all times, for the purpose
of exercising the rights herein granted.
Grantee shall have the right during construction of the initial facilities, to use for the
purposes incidental to said construction, a strip of land six-foot in width adjacent and contiguous
to the herein granted easement and right of way, said strip to be in whole or in part on each side
of the said easement and right of way, said right to use said strip of land ceasing and being
terminated at such time as said initial construction is completed.

Grantor hereby warrants and represents, and acknowledges Grantee's reliance upon said
warranty and representations, that Grantor has good and sufficient title to the real property in
order torant said easement and right of wa .

In consideration of the mutual terms, covenants and conditions herein contained, this
easement and right of way shall be binding upon and inure to the benefit of the parties and their
successors and assigns.

Legal Description
Electrical Easement
That portion of the Southwest Quarter ( SW 1/4 ) OF Section 25, Township 12 South, Range 13
East, Gila and Salt River Meridian, Pima County, Arizona, and being more particularly described
as follows:
Commencing at the southwest corner of said Southwest Quarter( SW 1/4) of Section 25,thence
North 00° 07'00"East,along the west line of said Southwest Quarter(SW 1/4)a distance of 658.81
feet to the southwest corner of the north half of the south half of the Southwest Quarter( SW 1/4)
of said Section 25;
Thence South 89° 56' 02" East along the south line of said north half, a distance of 939.15 feet;
Thence North 00° 07' 00" East, 3 5.5 0 feet to a point 0.50 feet north of the northerly right-of-way
line of Cool Drive as described in Docket 11849 at page 185 and said point also being the True Point
of Beginning of a 1.00 foot wide easement for electrical purposes lying 0.50 feet on each side of the
following described centerline;
Thence South 89° 56' 02" East and being 0.50 feet northerly of and parallel with said northerly
right-of-way line, 220.78 feet to a point of curvature;
Thence northeasterly along said curve , concave to the northwest, having a central angle of 30° 14'
12", a radius of 24.50 feet and an arc length of 12.93 feet to the end of said centerline easement.
