EASMNT 15:07 11000 N LA CANADA O ORO VALLEY AZ 85737 MAIL AMOUNT PAID $ 10.00 AGREEMENT FOR THE GRANTING OF AN EASEMENT This Agreement is made by and between the Town of Oro Valley("Town")and Herbert L. and Emma M.Ford("Fords"),for granting an easement of a portion of real property known as Highlands Lot 40,except a triangular parcel in the Northeasterly corner,and Highlands Lot 41, except a triangular parcel in the Northwesterly corner thereof, Section 12,Township 12 South,Range 14 East, GSRB&M,Pima County, Arizona,more commonly known as the property located on the northeast corner of Appalachian Street and Mont Blanc Avenue, Oro Valley, Arizona,and more particularly described in Parcel"B"in attached Exhibit"A." L GRANT OF EASEMENT In consideration of Twenty-four Hundred Dollars($2,400.00)as full payment,the Fords hereby grant to the Town a non-exclusive easement in,under,and over the property described in Parcel"B" in attached Exhibit"A"for the purpose of installing a water line and allowing access,including ingress and egress,across the described property for water utility purposes by the Oro Valley Water Utility. A. The Fords certify that the property is not subject to any undisclosed liens,encumbrances, claims,actions, suits, or other proceedings. The Fords shall not place,permit,or cause to be placed any liens or encumbrances on the title to the property. B. The Fords represent and warrant that,to the best of their knowledge,no pollutants, contaminants,toxic or hazardous substances,wastes or materials have been stored,used,or located on the property. C. The Fords warrant title against all persons whomsoever, subject to restrictions,reservations, easements,liens, encumbrances,rights-of-way and all matters of record. The easement granted hereby is appurtenant to the real property owned by Fords and described in Parcel "B" in attached Exhibit"A." IL TOWN RESPONSIBILITIES The Town shall construct and pave a driveway on and over the easement in order to provide an all weather access to the well site directly adjacent to Highlands Lot 40. (See Exhibit"B"). At the time of that construction and paving,the Town shall also construct additional parking for the exclusive use of the Fords Frs adjacent to that driveway. (See Exhibit"C") F: III. COMPLIANCE WITH LAWS The Town covenants and warrants that any construction of improvements within the easement shall be to the Town of Oro Valley standards. The Town further warrants that during any construction,all such activities shall be in compliance with all laws,ordinances,rules and/or regulations of the Town. B Highlands Mobile Home Park Office of the Oro Valley Town Attorney/sib 4.10.2002 1 W.MAINTENANCE The Town shall be responsible for any and all costs and expense incurred in the construction, maintenance,or repair of all improvements that are,or might be, located within the easement. V.RELEASE AND INDEMNIFICATION The Town agrees to indemnify, defend,and hold the Fords harmless from and against any and all liabilities, claims,demands,losses,actions,judgments,costs, expenses(including without limitation attorneys'fees), or damages of any kind or character,whether to persons or property,arising out of, or caused directly or indirectly by the design, construction,or use of the easement by the Town. VL REMEDIES In the event of a default by any party hereunder,the other party shall have all remedies available at law or in equity, including but not limited to, specific performance and injunctive relief to remedy such default. VII.PERMANENCY The grants, covenants,and provisions herein shall run with the land and shall be binding upon and inure to the benefit of the parties and their respective heirs, successors,and assigns forever. VIII. TERMINATION If this easement ceases to be used for the purposes stated herein,the Town may abandon the easement to the Fords or their successor in interest. IX.AUTHORIZATION TO SIGN The parties executing this Agreement represents and warrants to the other party hereto that the signing individual has the full power and authority to execute this Agreement on behalf of the entity for whom the signing individual is signing. X. GENERAL PROVISIONS A.TIME. Time is of the essence in this Agreement and each and every provision hereof. Any extension of time granted for the performance of the duty under this Agreement shall be in writing and shall not be considered an extension of time for the performance of any other duty under this Agreement. B. GOVERNING LAW. This Agreement is made under,and shall be construed in accordance with and governed by,the laws of the State of Arizona. C. WAIVER. No waiver hereunder shall be binding unless executed in writing by the party making the waiver. No waiver of any of the provision of this Agreement shall constitute a waiver of any 9 other provision,whether or not similar. D. HEADINGS. All paragraph headings contained herein are for convenience of reference only and are not intended to define or limit the scope of any provision of this Agreement. E. SEVERABILITY. The provisions of this Contract are severable to the extent that any provision or application held to be invalid shall not affect any other provision or application of the Contract,which may remain in effect without the invalid provision or application. Any provision of this Contract held to violate any law shall be deemed void,and all remaining provisions shall continue in full force and effect.
