WATER UTILITY EASEMENT
Vistoso Holdings, LLC, an Arizona limited liability company ("Grantor"), does hereby grant
to Town of Oro Valley, an Arizona municipal corporation ("Grantee"), a perpetual right-of-
way for ingress, ingress, and a perpetual water utility easement and right-of-way for the
construction, maintenance, and operation of a water pipeline and appurtenances in, over, under,
and across the following described premises, situated in Pima County, Arizona, shown on the
attached Exhibit A and made a part hereof by reference ("Property").
Grantee may enter upon the Property and may dig ditches and install water utility lines and may
enter the Property at all reasonable times for the purpose of construction, maintenance, repair,
service, replacement and removing any water utility lines and appurtenances. Following any use
of the Property for the above purposes, Grantee will restore the Property to a good and clean
condition, and if the Property is paved, to restore the pavement to a similar condition as found
before the pavement is cut.
This easement is subject to the following conditions:
(a) It is understood and agreed that the Grantor may use said right-of-way and
easement for any purpose not inconsistent with the actual use of said right-of-way
and easement for the purposes herein granted, so long as Grantee's use and access
to this right-of-way and easement is not obstructed.
(b) That all grants, covenants and provisions herein shall be binding on and inure to the
benefits of the heirs, successors and assigns of the parties hereto.
(c) Grantee shall hold Grantor free and harmless of any and claims, liabilities or
damages associated with Grantor's use and enjoyment of the easement and right-of-
way, including, but not limited to the costs of repairing or maintaining any water main
located within said easement and right-of-way.

NEW WATERLINE EASEMENT
A strip of land 20.00 feet wide within the Southwest Quarter(SW 1/4) of Section 32 and the
Southeast Quarter(SE 114)of Section 31,Township 11 South, Range 14 East, Gila and Salt
River Meridian, Pima County,Arizona, lying to the Westerly and Easterly of the following
described line:
COMMENCING at the Southwest corner of said Section 32;
THENCE N 00°00'48" E, along the West line of said Southwest Quarter(SW 1/4), a
distance of 615.44 feet to the North line of that Easement recorded in Docket 7787, Page 1320,
Pima County Recorder's Office;
THENCE S 55°40'13" E, along the North line of said Easement, 499.71 feet to the
Southwest corner of the Parcel recorded in Docket 10285, Page 283;
THENCE N 55°40'13"W, along the extension of the Southerly line of said Parcel, a
distance of 20.00 feet to the POINT OF BEGINNING;
