TEMPORARY CONSTRUCTION EASEMENT
For and in consideration of the sum of Ten and 00/100 Dollars ($10.00) and other
valuable consideration, STONE CANYON, L.L.C., an Arizona limited liability company
("Grantor"), does hereby grant to TOWN OF ORO VALLEY, an Arizona municipal
corporation ("Grantee"), a Temporary Construction Easement in connection with the
construction of Reservoir-13 ("Project").The purpose of this Temporary Construction
Easement is to allow Grantee, its agents, contractors and assigns,to use the property, as
described herein,for construction of the reservoir and appurtenances.This Temporary
Construction Easement shall be on, over and across real property legally situated in Pima
County,Arizona, more particularly described in Exhibit A attached hereto and
incorporated herein by this reference ("Premises").
The term of this easement shall be one year, commencing on May 1, 2001,with an
option to continue beyond the term for an additional six (6) months. In the event
completion of the Project occurs earlier than the term of this easement, Grantee may
terminate the easement by written notice to Grantor.
Grantor covenants to and with Grantee and its assigns that it is lawfully seized and
possessed of the Premises,that it has good and lawful right to grant said easement
interest and that it warrants and will defend the title to the said easement interest against
all claims and demand.
Grantee shall repair and restore the Premises to a like and equivalent condition as existed
prior to the construction activity and shall be responsible for any damages, claims or loss
occurring on the property during the term of this easement caused by Grantee's negligent
use of the property or by negligent acts or conduct of its employees, agents, contractors
or assigns.

COMMENCING at the Northeast corner of said Southwest One-Quarter(SW 1/4);
THENCE S 89°54'47"W, along the North line of said Southwest One-Quarter(SE 1/4),
a distance of 1,095.01 feet;
THENCE S 00°05'13" E, 535.12 feet;
THENCE S 55°19'28"W, 150.00 feet;
