RIGHT OF WAY EASEMENT
TOWN OF ORO VALLEY,ARIZONA,a political subdivision of the State of Arizona
(hereinafter referred to as"Grantor"),hereby grants to'Tucson Electric Power Company,an Arizona corporation,its successors and
assigns(hereinafter referred to as"Grantee"),an casement and right of way to construct,use,maintain,operate,alter,add to,repair,
Ieplace,reconstruct,inspect and remove at any time and bout time to time electric lines and appurtenant facilities for the transmission
and distribution of electricity,consisting of wires,underground conduits,cables,vaults, manholes, handholes,and including above-
ground enclosures,markers,concrete pads,risers,poles,anchors,guy wires and other appurtenant fixtures and equipment necessary or
useful (or distributing electrical energy and for(he attached communication facilities of other companies, in,over,under,across and
tlhat certain real property described as follows:

(irantor agrees fir itself,its successors and assigns,not to erect,place or maintain,nor to permit the erection,placement or
maintenance of any building,landscaping,earth fill,walls or fences upon the above herein described casement,which would impair
the repair, maintenance or removal of any or all of the facilities. All systems, including electrical and communication installed by
Grantee in and upon the above described easement and right of way shall remain the personal property of the Grantee and shall not be
deemed a part of the realty.
Grantee and its contractors, agents and employees shall have the right to trim or top such trees and to cut such routs and
remove such obstacles that could endanger or interfere with said systems and shall have lice access to said systems and every part
thereof,at all times,for the purpose of exercising the rights herein granted.
Grantee shall have the right during construction of the initial facilities,to use for the purposes incidental to said construction,
a strip of land 110 feet in width adjacent and contiguous to the herein granted easement and right away,said strip to be in whole or in
part on each side of said easement and right of way,said right to use said strip of land ceasing and being terminated at such time as
said Initial construction is completed.
(;cantor shall not increase or decrease the ground surface elevation within the boundary of the above described casement and
right of way after approved final grade is established and meets grantee's construction standards. Subsequent to the construction,the
ground surfiace shall not be penetrated to a depth in excess of 12 inches by any tool or implement,without having the underground
facilities located and taking all necessary precautions to protect them. If subsequent to construction,the grade is changed ill such a
way as to require relocation ufthe facilities,the cost shall be borne by Grantor or subsequent owners.
Grantor hereby agrees that these covenants are made for the above described real property which is the subject uI'this
easement and right of way. Grantor hereby warrants and represents, and acknowledges Grantee's reliance upon said warranty and
repleselllation,that Grantor has good and sufficient title to the real property in order to grant said easement and right of way. _
In consideration of the mutual terms,covenants and conditions herein contained, this easement shall he binding upon and _.
inure to benefit of any heirs, executors, administrators, permittees, licensees, agents, or assigns of Grantor and any successors and
assigns ul(irantce.

Description of Electric Easement
A portion of Block 2 of Vista Del Oro H, according to the plat recorded in Book 35 of Maps and
Plats, at Page 94, records of Pima County, Arizona, being a 10.00 foot wide strip of land, lying
5.00 feet on each side of the following described centerline:
COMMENCING at the northeasterly corner of the Lambert Lane subdivision, recorded in book
41 at page 67 of Maps and Plats, records of Pima County, Arizona, said corner being a '/2' rebar
tagged RLS 16845, and said corner being on the southerly right of way line of Lambert Lane
(Road) according to said plat of Lambert Lane (subdivision);
THENCE N 48°53' 44" E upon said southerly right of way line, being coincident to the
northerly line of said Block 2, a distance of 166.56 feet (N 48°45'25" E,166.72 feet record) to a
non-tangent point of curve concave to the southeast, a radial line of said curve through said point
having a bearing of N 41°12'58" W. Said point being an aluminum cap on a 1/2" rear (no
markings);
THENCE northeasterly upon said northerly line of Block 2, along the arc of said curve to the
right having a radius of 1834.86 feet and a central angle of 25°35'35" for an arc distance of
819.60 feet to the POINT OF BEGINNING of said centerline;
THENCE leaving said northerly line, S 09°11'01" E a distance of 73.63 feet;
THENCE S 00°00'00" E a distance of 290.00 feet;
THENCE S 49°28'04" E a distance of 185.15 feet to the POINT OF TERMINUS
of said centerline, said point hereinafter referred to as Point 'A';
The sidelines of herein described easement are to be lengthened or shortened so as to meet at the
angle points formed.
TOGETHER WITH:
A portion of Block 2 of Vista Del Oro II, according to the plat recorded in Book 35 of Maps and
Plats, at Page 94, records of Pima County, Arizona, described as follows:
COMMENCING at the aforementioned Point "A"
THENCE N 55°54'16" E a distance of 7.50 feet;
