Grantee and its assigns shall have the right to construct and maintain a public road and box culvert within a drainageway owned by Pima County, and to install utility and sewer facilities on the Property and to enter upon the Property for the purpose of maintenance. Grantee hereby agrees to assume responsibility for maintenance and repair of the road and box culvert. By acceptance of this easement, the Grantee hereby agrees to indemnify and save harmless the Grantor, its successors and assigns, from and against all claims for damages to persons or property arising out of the location, construction, operation, maintenance or repair of its facilities, provided however, Grantee does not hereby indemnify and save harmless Grantor, its successors and assigns, from Grantor's own negligence. Grantor reserves the right, power and privilege to utilize the drainageway, and to collect, convey and drain surface flow and storm waters through the drainageway. Nothing in this easement shall be construed to prevent Grantor from abandoning, altering, improving, repairing or maintaining facilities of County on the Property. The easement shall revert to the Grantor should the Property no longer be used for the specified purposes. All grants, covenants and conditions of this easement shall inure to the benefit of and be binding upon the successors in interest to the parties.
