PUBLIC NON-MOTORIZED TRAIL EASEMENT
This EASEMENT is granted this c a day /�1a ' , 2023, and between SPIRIT

REALTY L.P., a Delaware limited partnership("GRANTO "), and the Town_of Oro Valley, a political
subdivision of the State of Arizona, ("TOWN"). .
GRANTOR, for valuable consideration, herby grants unto TOWN, its successors and assigns, an
easement to construct, maintain, replace, relocate and repair a public non-motorized recreational
trail on property owned by GRANTOR (the "Property")) as depicted and described in Exhibit A (the
"Easement")
TOWN and GRANTOR herby agree to the following conditions:
1. The Easement shall run with the Property and shall be binding upon Grantor's heirs, successors,
and assigns.
2. TOWN has the right:to enforce its regulations within the Easement.
3. TOWN agrees to indemnify,iiidefend, and hold harmless Grantor, its tenants and their respective
successors and assigns, ?rom and against any loss, claim, damage,"liability, expense or
damage (including reasonable attorney fees) resulting from the exercise of rights granted
in this Easement, the use of the Easement by the public, or arising out of any actual
or alleged personal injury:or property damage arising out of or related to TOWN's or their
agents, contractors or employees use and/or maintenance of: the Easement. This
indemnification, defense and hold harmless agreement shall survive any termination of
this Easement but limited Only any loss, claim, damage, liability, expense or damage arising
out of acts or omissions occurring prior to the termination of this Easement. TOWN will
cause its contractors to maintain adequate insurance to cover such contractors' access and
activities on the Easement. TOWN acknowledges and understands that the Easement is
located adjacent to a golf course and expressly waives any and all claims, defenses, or right
of set off related thereto, including as a result of third- party claims by individuals using the
Easement.
4. TOWN, at its discretion, may make improvements to the trail and the structures or features
deemed necessary or desirable to. ensure func-tionality, security, and aesthetics of the trail;
provided, however, TOWN's use of the Easement shall not unreasonably interfere with any
structures, improvements, 'operations or activities of Grantor and any alterations to
improvements currently located within the Easement shall require Grantor's written consent.
5. TOWN will maintain the Itrail easement for the use. by the public. This shall entail
vegetation trimming and path work and could necessitate the use of motorized
vehicles necessary for .said work. The Easement and the improvements constructed by
TOWN shall be constructed, operated, repaired and maintained at TOWN's sole cost and
expense. In no event shall Grantor be liable for any maintenance responsibility or liabilities
associated with the use and operation of the Easement.
6. TOWN shall not, without Grantor's prior written consent, which consent shall not be
unreasonably withheld, conditioned or delayed,'assign, convey, or otherwise transfer (whether
voluntarily or otherwise)this Easement or any interest under it.
7. Town shall obtain all necessary permits, including payment of any security related to said
permits (and Grantor shall have no responsibility to pay any such security), prior to any
construction on the Easement. Any improvements on the Easement shall be constructed,
operated, repaired and maintained at TOWN's sole cost and expense. Prior to construction of
any above ground structure or below ground infrastructure, TOWN shall obtain the consent of
Grantor which consent shall not be' unreasonably withheld. TOWN shall cause the construction
of the Easement to be completed in a good and workmanlike manner, free and clear of all
mechanics' liens, materialmen's liens and similar liens, and in compliance with all applicable
laws, codes, rules, regulations and ordinances.
8. TOWN shall provide Grantor forty-eight (48) hours notice prior to commencing construction or
conducting extraordinary maintenance (including any maintenance using heavy-duty vehicles)
on the Easement.
9. The provisions hereof are not intended and do not constitute a public dedication of the
Easement.
