consideration, the Town of Oro Valley, an Arizona municipal corporation("Grantor")
quitclaims to PEREGRINE INVESTMENTS,LLC, an Arizona limited liability company,
all right,title, and interest in or to the following described real property situated in
Pima County, Arizona:

incorporated herein by this reference.

all rights and privileges appurtenant thereto:

"Property").
SUBJECT TO: All taxes, assessments, reservations in patents and all
easements, rights of way, encumbrances, liens, covenants, conditions and restrictions,
obligations and liabilities as may appear of record.
FURTHER SUBJECT TO: A restriction running with the Property
benefiting Grantor, its successors and assigns, enforceable at law or in equity,that the
Property be perpetually maintained by the Grantee in its natural, undeveloped, open
space condition, with the following exceptions:
1. At any time, Grantee may use the northern portion of the Property for
a cut slope in the event of future widening of Lambert Lane.

Re: Peregrine Investments, L.L.C./Oro Valley development agreement
Dear Tobin:
Under the development agreement between the Town and Peregrine
approved earlier this year, Peregrine is to place in escrow a deed for the Natural Open
Space ("NOS")Area. Attached for your review and comment is a draft letter to Fidelity
National Title Agency requesting that the escrow account be established (Attachment
1). Also attached is the Special Warranty Deed conveying the NOS to the Town, which
has been executed by Peregrine (Attachment 2). Because the property will be conveyed
with the restriction that it will perpetually maintained by the Town in its natural
condition with certain exceptions, and because Peregrine will reserve an easement over
the eastern edge of the NOS Area for a drainage swale, we believe that it is appropriate
that the Deed also be executed by the Town.
If you will please have the deed signed and returned to me, I will forward it
to Fidelity National with the letter establishing the escrow. Please call me if you have
any questions.

Re: Peregrine Investments, LLC; opening of escrow in contingent
conveyance of property to the Town of Oro Valley
Dear Ms. Shealy:
Our firm represents Peregrine Investments, LLC ("Peregrine"), in connection
with the development of property owned by Peregrine and located at the southwest
corner of La Canada and Lambert Lane in the Town of Oro Valley (the "Town"). On
October 7, 1998, Peregrine and the Town entered into a development agreement
providing the circumstances under which Peregrine in the future would convey a portion
of its property to the Town for permanent open space (the "Agreement"), a copy of
which is enclosed.
Under Section 4.2 of the Agreement, Peregrine is obligated to place in
escrow a deed conveying that portion of its property identified as future open space (the
"NOS Area")to the Town. Close of escrow and conveyance of the NOS Area to the
Town is contingent on events to occur in the future. It is possible that those events will
not occur, and in that case the escrow will be terminated and the deed returned to
Peregrine.
On behalf of Peregrine, we request that you open an escrow account for this
purpose, and deposit in it the enclosed deed executed by Peregrine. The deed is to be
held in escrow until you receive written direction from Peregrine regarding its
disposition.
