("Client") and Colores International, Ltd, ("Colores'') agree to this Public Art Developrnen.t Agreemont for Steam Pump village located in Oro Valley Arizona, on the following terms and conditions: I _ Scope of work. Colores will provide the following work on this project: • C. Y Public Art Requirements. Develop an art feature design for Client in response to the Pima Cfoanty Public Art requirement for Stearn pump Tillage • Design Development, Design and develop the Public Art for this project, with direction and approvals as required from the Client, Diamond Ventures, the Town of Oro 'Valley, the local community, and the artist. • Production/Installation. Manage the production and site installation of the Public Art. ? . Independent Contractor. Colores will be an advisor and consultant to Client for the project public .Art requirements and will be described to the community as such. Colores will be an independent contractor to Client and will not have legal partnership or joint venture status with Client. 3. Client/Government Requirements, The Client will provide Colores in writing with (1) the design requirements and Public Art stipulations from Piiiha County, and (ii) any specific design rcgUirements of the Client and its financial partners, if any. Client will provide approval to Colores in writing of the (i) conceptual design., and (J) completed art work in the studio. 5. Compensation Structure, The compensation to Colores (and the artist) for the art work for this Phase I is S67,040.00. This is the amount that will be used to compensate Colores and the artist that produces the art work. All amounts paid are non-refundable. This compensation amount will rennain In effect provided that this Agreement is executed by April 1, 2005. • Retainer_ Colores will be paid a retainer of 10% of the total compensation upon execution of this Agreement. • Design Phase. 40% of the total compensation twill be paid to Colores upon Design Approval and Notice to Proceed. • Studio Production Phase. 40% of the total compensation will be paid to Colores upon completion of the production of the art work in the studio. • Site Installation. 10% of the total compensation will be paid upon Completion of the Site Installation. • Exclusions. The compensation for the art work does not include certain items which are the responsibility of the Client: (i) transportation and delivery charges to the site, including insurance of the art work while in transit, (ii) improvements and infrastructure required at the site for the art work, including site grading, landscaping, lighting, base for the art work, and (iii) in the event that the site installation is delayed beyond the date in the schedule, storage of the art work at the artist's studio after Completion. + Change Orders. Any changes to the art work must be submitted by the Client in writing and, if accepted by the artist, will be subject to negotiation. • Additional Services. After completion of the Site Installation, Colores 'is available to provide additional anti services to Client on an hourly basis to be negotiated. 6. Schedule. REPRESENTING STEAM PUMP VILLAGE INVESTORS LLC., REQUESTS APPROVAL OF PHASE I PUBLIC ART FOR STEAM PUMP VILLAGE LOCATED ON THE WEST SIDE OF ORACLE ROAD,_IN PROXIMITY TO THE HANLEY BOULEVARD INTERSECTION PARCEL # 22008001P SUMMARY: At the regular meeting of May 19, 2004, the Town Council voted to conditionally approve OV 12-03-16, which g g represents the Development Plan (DP) for Phase I (approximately 1/4 of the site). All conditions have been satisfied p p and the area for Phase I is currently being graded. Several building permits have been submitted for review. Development plans for future phases will be forthcoming. The zoningcode provides that "All new commercial employment related projects, as well as all existing p o developments that propose 25% or more expansion and/or change in use shall contribute 1 /o of the building construction cost towards public arts projects." Public art must also be approved by Town Council within 90 days -)f buildingpermit submittal and the art must be established prior to receiving a "Certificate of Occupancy". The total construction cost for the entire 41 acre site and public art allocation is unknown at this time because the applicant is still seeking tenants for future phases. As a result, the public art submittal has been limited to fulfilling pp g public art requirements for 4 out of the 5 buildings within Phase I. The balance for the remaining 1 % allocation(s) for building #5 and/or future phases must be reviewed by the Public Art Review Committee and Town Council. As indicated in the attached cost estimate spreadsheet, the focus is on building pad numbers 15 25 3, and 4 (see application for site layout). The total contract building cost is $3,971,686.00 — which translates into an art allocation of $39,716.86. The proposed art is valued at $67,000.00. The balance of $27,283.14 will be applied to future phases. The public art is attached. The artist, Angel Mia de la Vega, has proposed a life-size bronze sculpture of proposed two children riding a horse that is pulling a wagon. The work reflects the ranching heritage of the historic Steam Pump Ranch. It will be positioned in the future park - directly behind the Steinway performance area — that provides a primary link to the CDO multi -use trail. STAFF REVIEW: The exceeds the 1 % of construction cost requirement for the subject buildings — as indicated on the proposal attached spreadsheet. As required by code, each piece will be available for public viewing more than 40 hours a week. PUBLIC ART REVIEW COMMITTEE (PARC) ACTION: This proposal was reviewed by the Public Art Review Committee (PARC) on June 27th. The Committee voted TOWN OF ORO VALLEY 'TAFF REPORT TO TOWN COUNCIL Pa e 2 unanimously to conditionally approve the proposal for the first phase. Camelback Rd., Suite 410, Phoenix, AZ 85016 RE: OV5-05-03, Public Art Submittal for Phase I of Steam Pump Village Dear Clint: As discussed over the phone and at the tail -end of two meetings, the following are concerns relative to the public art submittal that must be resolved: 1. The cost figures originally presented to determine the 1 % public art allocation were not comparable to other submittals for commercial sites that we have reviewed. You provided that the figures were based on construction of a shell building — and we explained that the figures need to be based on a complete leasable structure. Please provide a copy of the updated figures. 2. Evergreen Devco wishes to allocate the cost of the performance plaza toward the 1 % public art requirement. The following is provided in OVZCR Section 4-504F7d: A portion of the I % may also be used to construct pei forining art facilities used for and by the public for the promotion and production of the arts. The phrase "used for and by the public" indicates the intent of providing space that is dedicated to the public - and readily available for use by the general public. Its operation would have to be similar to the use of a ball field in a public park; whereby, a school, church group, youth organization etc. recognizes its purpose/availability and can reserve the space for use. Our understanding is that Steinway's private facility will be open to the public who are willing to pay the price of admission for a concert. This clearly falls short of the intent previously described. On June 1, you shared a copy of the Common Operation and Reciprocal Easement Agreement. The agreement indicates a limited potential of the space to be used by others (?) — when approved by the owner on a case by case basis. Again, this simply does not meet the intent mentioned above. As a destination location, with fabulous views of the Catalina Mountains and an adjacent linear park, Steam Pump Village is poised to be a neighborhood -oriented marketplace that the Town of Oro Valley can be proud of. Great care has gone into the selection and design of the Public Art, architecture and common area facilities at this development. Steam Pump Village consists of approximately 40 acres of a planned area development. Evergreen intends to develop the center in multiple phases. Phase I of the development (approximate)y 9 acres ) consists of retail shops buildings, a restaurant, office lofts and a Steinway Piano Gallery. This Public Art Submittal includes all of Phase I (as depicted on the enclosed site plan), which contemplates an estimated building cost of $3,971,686.00. This budget would require a minimum of $399716.86 to the Public Art Project. The Public Art included in the Phase I submittal consists of a bronze sculpture commissioned by Angela Mia de la Vega and the public outdoor amphitheatre located adjacent to the Steinway Piano Gallery. The sculpture was selected because it relates to the time period of the historic Steam Pump Ranch, and is shown on the following pages. This sculpture will be placed in our park setting, where it can be enjoyed by customers and occupants of the site, as well as the community. When the Public Art Submittal for the remaining phases is completed, the proposed art will be similar in nature to this sculpture (period -related bronze sculptures). The public will be able to enjoy the outdoor amphitheatre during performances or other events, and will also be able to enjoy the public open space during times when there are no Public Art Submittal for Oro Valley '!J DEO performances. It will not only be a great amenity to the Steam Pump Village, but also to the Town of Oro Valley. The following pages illustrate our Phase I Public Art Submittal with an estimated value of over $67,000. Because this amount exceeds the minimum amount of art required by the Town of Oro Valley for Phase 1 {$27,283.14), the excess amount of $27,283.14 shall be applied to the Public Art requirement for future phases of the development. Scope of Work. Colores will provide the following work on this project: City Public Art Requirements. Develop an art feature design for Client in response to the Pima County Public Art requirement for Steam Pump Village • Design Development. Design and develop the Public Art for this project, with direction and approvals as required from the Client, Diamond Ventures, the Town of Oro Valley, the local community, and the artist. • Production/Installation. Manage the production and site installation of the Public Art. 2. Independent Contractor. Colores will be an advisor and consultant to Client for the project Public Art requirements and will be described to the community as Such. Colores will be an independent contractor to Client and "fill not have legal partnership or joint 40 venture status with Client. 3. Client/Government Requirements. The Client will provide Colores in writing with (i) the design requirements and Public Art stipulations from Pli-na County, and (11) any specific design requirements of the Client and its financial partners, if any. Colores and the artist will provide a I -year warranty (from the date of installation), for corrective work for any defects in the materials used for the art work (excluding damage to the art work caused by third parties). • Dispute Resolution. Any disputes under this Agreement will be subject (1) first to mediation, and (n) second to binding arbitration. The laws of the State of Arizona will apply to this Agreement. • Termination.
