A RESOLUTION OF THE MAYOR AND COUNCIL OF THE TOWN OF
ORO VALLEY, ARIZONA, APPROVING A GIFT AGREEMENT
BETWEEN CANADA DEL ORO LLC AND THE TOWN OF ORO VALLEY
ACCEPTING CERTAIN REAL PROPERTY CONSISTING OF AREAS 3
AND 4 OF THE ORO VALLEY TOWN CENTER; AND DIRECTING THE
TOWN MANAGER, TOWN CLERK, TOWN LEGAL SERVICES
DIRECTOR, OR THEIR DULY AUTHORIZED OFFICERS AND AGENTS
TO TAKE ALL STEPS NECESSARY TO CARRY OUT THE PURPOSES
AND INTENT OF THIS RESOLUTION
WHEREAS, Canada Del Oro LLC wishes to gift to the Town certain real property consisting of
areas 3 and 4 of the Oro Valley Town Center, the terms of gift are spelled out in the Gift
Agreement, attached hereto as Exhibit "A" and incorporated by reference; and
WHEREAS, Area 3 and 4 of the Oro Valley Town Center consists of both residential and
commercial zoning which is just east of the intersection of Oracle Road and Pusch View Lane;
and
WHEREAS, Canada Del Oro LLC has placed no restrictions of the use of the property; and
WHEREAS, under the terms of the Gift Agreement, the Town of Oro Valley would appropriately
recognize Laurence Francis Rooney at such time as when the property is used or developed; and
WHEREAS, it is in the best interest of the Town of Oro Valley to approve the Gift Agreement
between Canada Del Oro LLC and the Town of Oro Valley accepting certain real property
consisting of areas 3 and 4 of the Oro Valley Town Center.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Town of Oro
Valley, Arizona, that:
SECTION 1. The Town Manager is hereby authorized to take such steps as are necessary to
complete the acquisition of the property.
SECTION 2. The Town Manager and other administrative officials, or their designees, are hereby
authorized to take such steps as necessary to execute and implement the terms of the Gift
Agreement between the Canada Del Oro LLC and the Town of Oro Valley.
SECTION 3. The Town Manager, Town Clerk, Town Legal Services Director, or their duly
authorized officers and agents are hereby authorized and directed to take all steps necessary to
cant' out the purposes and intent of this resolution.
PASSED AND ADOPTED by the Mayor and Council of the Town of Oro Valley, Arizona, this
22nd day of July, 2020.

EXHIBIT "A"
GIFT AGREEMENT
BETWEEN
THE TOWN OF ORO VALLEY, ARIZONA and
CANADA DEL ORO LLC
This Gift Agreement (this "Agreement') is made this 70,11, day of July, 2020 between Canada del
Oro LLC (the "Donor") and The Town of Oro Valley, Arizona, (the "Recipient').
The Donor and the Recipient agree as follows:
1. Donor Commitment. The Donor hereby agrees to give to the Recipient that certain real
property (the "Property") consisting of Areas 3 and 4 of the Oro Valley Town Center as shown on Exhibit
"A", but only on the terms and conditions as set forth in this Agreement. The gift of this Property by the
Donor to the Recipient is sometimes referred to herein as the "Gift'. The effective date on which the Gift
will occur is sometimes referred to herein as the "Gift Date."
2 Manner in Which the Gift Will be Made. The Gift will be made by a duly executed and
notarized Quit Claim Deed for the Property showing the Donor as the grantor/transferor and the Recipient
as the grantee/Recipient.
3. Gift Conditional Upon Full Execution of this Agreement on or Before July 31, 2020. Donor
is providing two executed originals of this Agreement to the Recipient. If the Recipient executes and returns
one executed original of this Agreement to the Donor on or before July 31, 2020 (the "Expiration Date"),
then this Agreement shall become effective and shall be binding upon both the Donor and the Recipient. The
date upon which this Agreement becomes effective, if in fact it does become effective, is referred to as (the
"Effective Date"). The Donor shall be deemed to have received possession of this Agreement executed by
the Recipient only if Patrick D. Rooney has received actual possession this executed Agreement on or before
the Expiration Date. If Patrick D. Rooney has not received actual possession of this Agreement on or before
the Expiration Date, then this Agreement shall not become effective and the Donor and Recipient will have
no liability or responsibility to the other. If this Agreement does become effective, then the Donor may make
the Gift on any Gift Date as selected by the Donor, so long as the Recipient has not cancelled the Gift during
its Due Diligence Period as outlined in Section 4, and so long as the Gift Date occurs on or before December
31, 2020.
4. Due Diligence. The Recipient shall have 60 days from the Effective Date, referred to herein
as the "Due Diligence Period," to conduct due diligence. During the Due Diligence Period, the Recipient shall
have the right to conduct whatever due diligence it deems appropriate with respect to the Property. Upon request
by the Recipient, the Donor will provide whatever written data or materials it has regarding the Property.
However, the Donor makes no representation or warranty as to the condition of the Property, including but not
limited to, its physical condition, environmental condition, title, suitability for any purpose, or otherwise.
The Recipient releases and discharges the Donor from any claim it may have, and in fact agrees that it shall
have no claim, against Donor with respect to any such condition of the Property. The Recipient may elect to
cancel the Gift during the Due Diligence Period if it identifies due diligence concerns by providing written
notice of its cancellation to Patrick D. Rooney prior to the end of the Due Diligence Period. If no notice is
given, the Recipient will have effectively waived its right to cancel the contract and the Due Diligence Period
will be deemed expired.
5. Costs and Expenses of the Gift. The Recipient will pay any costs and expenses in
connection with the Gift, which would include the preparation of the Quit Claim Deed, filingfees for the
Quit Claim Deed, and any other ordinary and customary expenses. If the Recipient wants to obtain title
insurance or a title opinion, then the Recipient may do so at its own expense.
6. Qualification of the Gift as a Charitable Donation. The Recipient understands that the
Donor will report the Gift for state, local, and federal income tax purposes as a deductible charitable gift.
The Recipient does not make any representation for and shall have no liability as to the fair market value
of the Property or the amount of the charitable deduction. However, the Recipient shall not take any action
which would in any way impede the reporting of the Gift as a charitable deduction by the Donor, and the
Recipient shall cooperate in any manner as may be reasonably requested by the Donor to provide
information to any taxing authority as to the receipt of the Gift.
7. Future Recognition of Laurence Francis Rooney. The Recipient agrees to appropriately
recognize Laurence Francis Rooney, original founder of Rooney Ranch and related properties in the Oro
Valley area, in the future use or development of the real property. At that time, Recipient shall consult with
Patrick D. Rooney or his designee for input into the form of recognition, but Donor acknowledges that the
final decision regarding such recognition of Laurence Francis Rooney is solely that of the Town Council.
8. Applicable Law. This Agreement shall be construed and enforced in accordance with the
laws of the State of Arizona.
9. Entire Agreement. This Agreement constitutes the entire Agreement among the parties and
supersedes all prior agreements and understandings among the parties relating to the subject matter hereof.
IN WITNESS WHEREOF, the undersigned agree to be bound by and have executed this
Agreement effective as of the date set forth above.

The undersigned parties have employed Stewart Title & Trust of Tucson ("Escrow Agent") to act on their behalf as stated
below in the closing of an escrow transaction.
1. Escrow Agent is hereby authorized to pay from funds deposited into escrow for said purpose all amounts necessary to
procure documents and all other charges and obligations necessary to consummate this transaction. The parties
grant Escrow Agent a lien on all property and funds deposited in escrow. The parties authorize Escrow Agent to
reimburse itself for its charges and for all damages or expenses it may incur in connection with the escrow and the
performance of Escrow Agent's duties, including costs, damages and attorney's fees. Escrow Agent may charge a
"Special Services Fee" pursuant to the escrow rate filing with the Arizona Department of Financial Institutions for
additional work deemed by Escrow Agent to be above and beyond that typically required in a normal escrow
transaction. This work may include, but is not limited to, research needed to procure loan or lien releases, after hours
or out of office closing services, additional documentation or correspondence, cancelled and/or rescheduled
appointments, or work provided on transactions which cancel. Escrow Agent is authorized to pay said charge(s) from
the parties' funds (as applicable) at close of escrow, or to deduct same from funds held in escrow upon cancellation.
2. Escrow Agent is hereby authorized to act upon any statement furnished to Escrow Agent by a lien holder or his agent,
without liability or responsibility for the accuracy of such statement. In the event the lender or lien holder demands
additional funds after the close of escrow, the party responsible for payment of the lien: (i) agrees to deposit with
Escrow Agent any additional funds necessary to comply with the lender/lien holder's instructions upon receipt of same
from Escrow Agent; (ii) acknowledges that any payment in full to a lender must be received by the lender on or before
a specific dale to avoid further interest accrual; (iii) instructs Escrow Agent to forward payoff funds to the lender by
express service of Escrow Agent's choice.
3. Any fees, costs or assessments which are the responsibility of the parties herein pursuant to the purchase contract;
listing agreement, lenders instructions, homeowners association, tax authority, escrow instructions or other vendor in
this transaction shall be paid by the responsible party, and Escrow Agent is instructed to pay same at close of escrow.
In the event any costs or fees are unpaid at or after close of escrow, the party responsible for said cost agrees to pay
it promptly upon notification of same.

h. The parties authorize Escrow Agent to: (a) fill in the date of close of escrow (e.g., the date documents are recorded)
and such other necessary dates on any documents related to this transaction; (b) correct any typing, scriveners' or
other similar errors on any documents delivered into escrow related to this transaction; (c) record any document
delivered into escrow related to this transaction, if necessary or proper for the issuance of policies of title insurance;
(d) furnish copies from its file of settlement statements or closing disclosures to real estate agents, real estate
brokers, mortgage brokers, lenders and loan servicers; (e) upon written request, provide copies of checks, settlement
statements, closing disclosures and file ledgers to lenders and loan servicers; (f) provide the parties information and
documents to Buyer's/Borrower's lender when requested by or as is required by the Buyer's/Borrower's lender to
process the loan transaction; and (g) furnish copies of any documents from its file to parties entitled thereto (including
lenders, real estate brokers, attorneys and others representing parties to the transaction).
5. The parties authorize Escrow Agent to communicate with and/or obtain necessary statements related to any liens
affecting the property. The parties further agree to authorize Escrow Agent to provide any and all title, settlement and
closing transaction documents and information, including information that may contain nonpublic personal information
related to your judgments, liens, encumbrances (if any), to the Real Estate Broker(s), Lender(s), Mortgage Broker(s),
Attorney(s), Seller(s), Buyer(s)/Borrower(s) and their title company, in order to process the transaction.
6. Possession of the property, transfer of utilities or subscribed services, and collection of cancellation premiums from
the Seller's fire or hazard insurance policy shall be handled by the parties direct and outside of escrow, and Escrow
Agent shall have no responsibility with regard thereto.
The proration date shall be close of escrow. All items to be prorated will have been submitted to Escrow Agent prior
to close of escrow and the parties agree to hold Escrow Agent harmless as to any items or information not submitted
to escrow for proration calculation. Real estate taxes are prorated on the basis of the current year if the tax figures
are available for the current year. If the tax figures for the current year are not available, Escrow Agent will prorate the
taxes using the basis of the latest available tax bill unless otherwise instructed. Escrow Agent is not liable or
responsible for making an adjustment in the escrow settlement if the taxing authority, alter the close of escrow,
determines that additional taxes are due. Escrow Agent is not liable or responsible for making an adjustment in the
escrow settlement when the actual taxes become available after close of escrow -
8 All escrows shall be subject to a fee pursuant to the escrow rate filing with the Arizona Department of Financial
Institutions which shall be assessed in the event of no activity or unresolved conflict between the principals.
9. Escrow Agent may resign upon written notice to the parties. If such right to resign is exercised by Escrow Agent, all
funds, less Escrow Agent's charges, and all documents shall be returned by Escrow Agent to the party who deposited
them into escrow and Escrow Agent shall have no liability hereunder.
10. Any litigation, arbitration or mediation arising out of this transaction in which Escrow Agent is named as a party shall
be. filed and maintained in the county in which the office of the Escrow Agent handling this transaction is located. In
the event of any litigation or arbitration which relates to the duties or actions of Escrow Agent, including any action
seeking a declaration of the rights or obligations of any party to this Escrow, the prevailing party or parties in such
litigation or arbitration proceeding shall be awarded, in addition to any other available remedy, all expenses, fees and
costs; including expert witness fees, and all reasonable attorney's fees shall be determined by the court or arbitrator,
and not by a jury, in a separate proceeding.
11 Seller represents that no IRS withholding of proceeds is required under the Foreign Investment in Real Property Tax
Act (FIRPTA), or that if said withholding is required, the Buyer and Escrow Agent have been notified of same. Buyer
acknowledges Seller's representation and the parties hereby relieve Escrow Agent and its employees of any and all
liability and/or responsibility regarding said withholding requirement.
12. 'Ali of the terms and conditions of the real estate purchase contract, if applicable, remain the same. However, the
parties hereby agree that all notices required to be delivered to any party to the contract or to Escrow Agent pursuant
to the parties' contract shall be mailed or delivered to all parties and to Escrow Agent in order to constitute notice
under the contract.
13. NOTICE OF RIGHT TO EARN INTEREST ON DEPOSITED FUNDS: Interest may be earned on all deposited funds
by requesting the Escrow Officer at Stewart Title & Trust of Tucson, 3001 E. Skyline Drive, Suite 109, Tucson, AZ
85718, Phone: (520) 276-9923, who is handling the transaction to place the escrowed funds into an interest bearing

account. The Escrow Agent's charge to set up such an account is pursuant to the escrow rate filing with the Arizona
Department of Financial Institutions. Deposited funds will earn interest at the prevailing rate of interest paid by the
federally insured financial institution where funds would be deposited. For example, a S1,000.00 deposit for 30 days
at a prevailing rate of 2.8% per annum would earn approximately $2.10.
14. NOTICE OF UNINSURED MONIES PURSUANT TO ARS 6-841.03: MONIES DEPOSITED IN AN ESCROW
ACCOUNT ARE NOT INSURED AGAINST LOSS FROM FRAUD OR THEFT BY THE STATE OF ARIZONA OR THE
UNITED STATES GOVERNMENT. This disclosure requirement applies to each Buyer and Seller of a Residential
Dwelling. Section 6.841.02 defines "Residential Dwelling" as an owner -occupied structure or an investment property
that is designated for residential use by four or fewer families.
15. Escrow fees, including the concurrent loan escrow fee pursuant to the escrow rate filing with the Arizona Department
of Financial Institutions for any financing or equity credit lines (if applicable) shall be paid one-half (1/2) by the
Buyer(s) and one-half (1/2) by the Seller(s) unless specified differently in the Purchase Contract. The escrow fee for a
loan only transaction shall be paid by the Borrower.
16. In accordance with ARS 6-841.02, if the Buyer(s) or Seller(s) shall deem it necessary, upon request Stewart Title R
Trust of Tucson shall issue a Closing Protection Letter that provides protection for the loss of escrow monies due to
fraud or dishonesty of the escrow agent A Closing Protection Letter may be provided to a Borrower in a loan only
transaction upon request.
17. Acknowledgement: The parties recognize, acknowledge and agree that Escrow Agent is not qualified, nor licensed to:
(i) determine the Buyer's credit worthiness: and (ii) ensure the terms of the parties' Seller Financing comply with state
and federal law. The parties are instructed to consult with qualified licensed professionals, including but not limited to
a licensed Arizona attorney, to ensure that the terns of their Seller Financing terms comply with the Dodd -Frank Wall
Street Reform and Consumer Protection Act, Regulation Z of the Truth in Lending Act (12 CFR § 1026), the Real
Estate Settlement Procedures Act and other state and federal laws that may prove applicable, Because ensuring
compliance with these laws is beyond the scope of Escrow Agent's expertise and licensing, the parties expressly
release and hold harmless Stewart Title & Trust of Tucson, its employees, agents. officers, directors, successors and
assigns from liability for any violations that could have been avoided/discovered by consultation with qualified licensed
professionals.
18. Disbursements by Escrow Agent will be by wire or check and issued jointly to the parties designated as payees.
19 Escrow Agent is not authorized to practice law, provide financial advice or estate planning advice. The parties
acknowledge that they have been advised to consult with an attorney of their choice before signing any transaction -
related documents.
20. Escrow Agent has no responsibility for the conditions of the Property, its suitability for its intended use, or for its
compliance with federal, state or local laws and ordinances.
21 No notice, demand or change of instructions shall have any effect unless given in writing and signed by all parties
affected thereby. Any additional instructions given to Escrow Agent shall be presented in writing. The parties
understand that Escrow Agent may receive additional instructions from third parties whose cooperation and
agreement are necessary for the completion of this transaction. The parties authorize Escrow Agent to comply with
third party instructions when necessary to complete the transaction.
22. The parties acknowledge their duty to fully disclose to Escrow Agent any and all matters which affect the transfer of
the Property and the condition of title to the Property.
23. These instructions may be executed in counterpart
24. All terms of these instructions shall be binding upon, inure to the benefit of and be enforceable by the parties hereto
and their respective legal representatives, successors and assigns.
25. In the event any term, covenant, condition, provision or agreement herein contained is held to be invalid or void by
any court of competent jurisdiction, the invalidity of any such item shall in no way affect any other term, covenant,
condition, provision or agreement herein contained.

26. The parties agree to fully cooperate in correcting any and all errors in the closing documentation or settlement
statements deemed necessary by Lender or Escrow Agent. The parties further agree lhat "to cooperate" includes, but
is not limited to, the agreement to execute or re -execute any documents which the Lender or Escrow Agent deem
necessary or desirable to complete this transaction and to facilitate the issuance of its title insurance policy and
marketability of the loan.
27. Escrow Agent does not warrant or represent the accuracy of information provided by third parties, including
information concerning POC items supplied by the lender in this transaction appearing on the settlement statement
and the Parties hold Escrow Agent harmless as to any inaccuracies of such matters.
28. The parties agree that at such time as the parties' deposit into escrow the executed documents and the funds
sufficient to close the transaction, Escrow Agent is authorized to close the escrow. By depositing the above
referenced documentation, the following matters shall be deemed to be satisfied, waived, met or agreed to without
further instructions from the parties, and the parties agree to indemnify, defend, and hold Escrow Agent harmless
from, for, and against any and all claims by any persons, including the parties as to the following matters
a. All items to be prorated have been submitted to Escrow Agent.
b. All repairs, inspections, contingencies, and/or conditions have been completed, met, waived, or satisfied.
c. Buyer has received and reviewed the Commitment for Title Insurance issued by Stewart Title & Trust of
Tucson and Buyer approves and accepts all matters as set forth therein.
d. The parties have either read all of the closing documents or are responsible for their own failure to have read
them.
e. Escrow Agent shall not record before the closing date as set forth in the contract.

COMMITMENT CONDITIONS
1. DEFINITIONS
(a) "Knowledge" or "Known": Actual or imputed knowledge, but not constructive notice imparted by the Public
Records.
(b) "Land": The land described in Schedule A and affixed improvements that by law constitute real property. The term
"Land" does not include any property beyond the lines of the area described in Schedule A, nor any right, title,
interest, estate, or easement in abutting streets, roads, avenues, alleys, lanes, ways, or waterways, but this does
not modify or limit the extent that a right of access to and from the Land is to be insured by the Policy.
(c) "Mortgage": A mortgage, deed of trust, or other security instrument, including one evidenced by electronic means
authorized by law.
(d) "Policy": Each contract of title insurance, in a form adopted by the American Land Title Association, issued or to
be issued by the Company pursuant to this Commitment.
(e) "Proposed Insured": Each person identified in Schedule A as the Proposed Insured of each Policy to be issued
pursuant to this Commitment.
(f) "Proposed Policy Amount": Each dollar amount specified in Schedule A as the Proposed Policy Amount of each
Policy to be issued pursuant to this Commitment.
(g) "Public Records": Records established under state statutes at the Commitment Date for the purpose of imparting
constructive notice of matters relating to real property to purchasers for value and without Knowledge.
(h) "Title": The estate or interest described in Schedule A.
2. If all of the Schedule B, Part I - Requirements have not been met within the time period specified in the Commitment
to Issue Policy, this Commitment terminates and the Company's liability and obligation end.
3. The Company's liability and obligation is limited by and this Commitment is not valid without:
(a) the Notice;
(b) the Commitment to Issue Policy;
(c) the Commitment Conditions;
(d) Schedule A;
(e) Schedule B, Part I - Requirements;
(f) Schedule B, Part II - Exceptions; and
(g) a countersignature by the Company or its issuing agent that may be in electronic form.
4. COMPANY'S RIGHT TO AMEND
The Company may amend this Commitment at any time. If the Company amends this Commitment to add a defect,
lien, encumbrance, adverse claim, or other matter recorded in the Public Records prior to the Commitment Date, any
liability of the Company is limited by Commitment Condition 5. The Company shall not be liable for any other
amendment to this Commitment.
5. LIMITATIONS OF LIABILITY
(a) The Company's liability under Commitment Condition 4 is limited to the Proposed Insured's actual expense
incurred in the interval between the Company's delivery to the Proposed Insured of the Commitment and the
delivery of the amended Commitment, resulting from the Proposed Insured's good faith reliance to:
(i) comply with the Schedule B, Part I - Requirements;
(ii) eliminate, with the Company's written consent, any Schedule B, Part II -Exceptions; or
(iii) acquire the Title or create the Mortgage covered by this Commitment.
(b) The Company shall not be liable under Commitment Condition 5(a) if the Proposed Insured requested the
amendment or had Knowledge of the matter and did not notify the Company about it in writing.
(c) The Company will only have liability under Commitment Condition 4 if the Proposed Insured would not have
incurred the expense had the Commitment included the added matter when the Commitment was first delivered
to the Proposed Insured.

(d) The Company's liability shall not exceed the lesser of the Proposed Insured's actual expense incurred in good
faith and described in Commitment Conditions 5(a)(i) through 5(a)(iii) or the Proposed Policy Amount.
(e) The Company shall not be liable for the content of the Transaction Identification Data, if any.
(f) In no event shall the Company be obligated to issue the Policy referred to in this Commitment unless all of the
Schedule B, Part I - Requirements have been met to the satisfaction of the Company.
(g) In any event, the Company's liability is limited by the terms and provisions of the Policy.
S. LIABILITY OF THE COMPANY MUST BE BASED ON THIS COMMITMENT
(a) Only a Proposed Insured identified in Schedule A, and no other person, may make a claim under this
Commitment.
(b) Any claim must be based in contract and must be restricted solely to the terms and provisions of this
Commitment.
(c) Until the Policy is issued, this Commitment, as last revised, is the exclusive and entire agreement between the
parties with respect to the subject matter of this Commitment and supersedes all prior commitment negotiations,
representations, and proposals of any kind, whether written or oral, express or implied, relating to the subject
matter of this Commitment.
(d) The deletion or modification of any Schedule B, Part II - Exception does not constitute an agreement or obligation
to provide coverage beyond the terms and provisions of this Commitment or the Policy.
(e) Any amendment or endorsement to this Commitment must be in writing and authenticated by a person authorized
by the Company.
(f) When the Policy is issued, all liability and obligation under this Commitment will end and the Company's only
liability will be under the Policy.
7. IF THIS COMMITMENT HAS BEEN ISSUED BY AN ISSUING AGENT
The issuing agent is the Company's agent only for the limited purpose of issuing title insurance commitments and
policies. The issuing agent is not the Company's agent for the purpose of providing closing or settlement services.
8. PRO -FORMA POLICY
The Company may provide, at the request of a Proposed Insured, a pro -forma policy illustrating the coverage that the
Company may provide. A pro -forma policy neither reflects the status of Title at the time that the pro -forma policy is
delivered to a Proposed Insured, nor is it a commitment to insure.
9. ARBITRATION
The Policy contains an arbitration clause. All arbitrable matters when the Proposed Policy Amount is $2,000,000 or
less shall be arbitrated at the option of either the Company or the Proposed Insured as the exclusive remedy of the

ADDENDUM TO COMMITMENT FOR TITLE INSURANCE
The policy or policies to be issued will contain exceptions to or exclusions from coverage as to the following matters unless the same
are disposed of to the satisfaction of or by agreement with the Company.
EXCEPTIONS TO STANDARD POLICIES AND ALTA OWNER'S POLICIES
1. Taxes or assessments which are not shown as existing liens by the records of any taxing authority that levies taxes or
assessments on real property or by the Public Records. Proceedings by a public agency which may result in taxes or assessments,
or notices of such proceedings whether or not shown by the records of such agency or by the Public Records
2. Any facts, rights, interest or claims which are not shown by the Public Records but which could be ascertained by an inspection of
the land or by making inquiry of persons in possession thereof.
3. Easements, liens or encumbrances, or claims thereof, which are not shown by the Public Records.
4. Discrepancies, conflicts in boundary lines, shortage in area, encroachments, or any other facts which a correct survey would
disclose, and which are not shown by the Public Records.
5. (a) Unpatented mining claims.

area of the land or any parcel of which the land is or was a part; or (iv) environmental protection, or the effect of the violation of any
of these laws, ordinances or governmental regulations, except to the extent that a notice of the enforcement thereof or a notice of a
defect, lien or encumbrance resulting from a violation or alleged violation affecting the land has been recorded in the Public
Records at Date of Policy.
(b) Any governmental police power not excluded by (a) above, except to the extent that a notice of the exercise thereof or a notice
of defect, lien or encumbrance resulting from a violation or alleged violation affecting the land has been recorded in the Public
Records at Date of Policy.
2. Rights of eminent domain unless notice of the exercise thereof has been recorded in the Public Records at Date of Policy, but not
excluding from coverage any taking which has occurred prior to Date of Policy which would be binding on the rights of a purchaser
for value without knowledge.
3. Defects, liens, encumbrances, adverse claims or other matters:
(a) created, suffered, assumed or agreed to by the insured claimant;
(b) not known to the Company, not recorded in the Public Records at Date of Policy, but known to the insured claimant and not
disclosed in writing to the Company by the insured claimant prior to the date the insured claimant became an insured under
this policy;
(c) resulting in no loss or damage to the insured claimant;
(d) attaching or created subsequent to Date of Policy; or
(e) resulting in loss or damage which would not have been sustained if the insured claimant had paid value for the estate or
interest insured by this policy.
4. Any claim, which arises out of the transaction (vesting in the insured the estate or interest)(creating the interest of the mortgagee)
insured by this policy, by reason of the operation of federal bankruptcy, state insolvency, or similar creditors' rights laws, that is
based on:
(a) the transaction creating the (estate or interest insured by this policy)(interest of the insured mortgagee) being deemed a
fraudulent conveyance or fraudulent transfer, or
(b) the subordination of the insured mortgage (if applicable) as a result of the application of the doctrine of equitable
subordination; or
(c) the transaction creating the (estate or interest insured by this policy)(interest of the insured mortgagee) being deemed
a preferential transfer except where the preferential transfer results from the failure:
(i) to timely record the instrument of transfer, or
(ii) of such recordation to impart notice to a purchaser for value or a judgment or lien creditor.
In addition, as to an ALTA Loan Policy only:
5. Unenforceability of the lien of the insured mortgage because of the inability or failure of the insured at Date of Policy, or the inability
or failure of any subsequent owner of the indebtedness, to comply with applicable doing business laws of the state in which the
land is situated.
6. Invalidity or unenforceability of the lien of the insured mortgage, or claim thereof, which arises out of the transaction evidenced by
the insured mortgage and is based upon usury or any consumer credit protection or truth in lending law.
7. Any statutory lien for services, labor or materials (or the claim of priority of any statutory lien for services, labor or materials over
the lien of the insured mortgage) arising from an improvement or work related to the land which is contracted for and commenced
subsequent to Date of Policy and is not financed in whole or in part by proceeds of the indebtedness secured by the insured
mortgage which at Date of Policy the insured has advanced or is obligated to advance.

4. Any claim, by reason of the operation of federal bankruptcy, state insolvency, or similar creditors' rights laws, that the transaction
vesting the Title as shown in Schedule A, is
(a) a fraudulent conveyance or fraudulent transfer; or
(b) a preferential transfer for any reason not stated in Covered Risk 9 of this policy.
5. Any lien on the Title for real estate taxes or assessments imposed by governmental authority and created or attaching between
Date of Policy and the date of recording of the deed or other instrument of transfer in the Public Records that vests Title as shown
in Schedule A.

1. Governmental police power, and the existence or violation of any law or government regulation concerning:
a. building
b. zoning
c. land use
d. improvements on the land
e. land division
f. environmental protection
This Exclusion does not limit the coverage described in Covered Risk B.a., 14, 15, 16, 18, 19, 20, 23 or 27.
2. The failure of Your existing structures, or any part of them, to be constructed in accordance with applicable building codes. This
Exclusion does not limit the coverage described in Covered Risk 14 or 15.
3. The right to take the Land by condemning it. This Exclusion does not limit the coverage described in Covered Risk 17.
4. Risks:
a. that are created, allowed, or agreed to by You, whether or not they appear in the Public Records;
b. that are Known to You at the Policy Date, but not to Us, unless they are recorded in the Public Records at the Policy Date;
C. that result in no loss to You; or
d. that first occur after the Policy Date - this does not limit the coverage described in Covered Risk 7, 8.e., 25, 26, 27 or 28.
5. Failure to pay value for Your Title.
6. Lack of a right:
a. to any land outside the area specifically described and referred to in paragraph 3 of Schedule A; and
b. in streets, alleys, or waterways that touch the Land.
This Exclusion does not limit the coverage described in Covered Risk 11 or 21.
7. The transfer of the Title to You is invalid as a preferential transfer or as a fraudulent transfer or conveyance under federal
bankruptcy.
8. Contamination, explosion, fire, flooding, vibration, fracturing, earthquake, or subsidence.
9. Negligence by a person or an Entity exercising a right to extract or develop mineral, water, or any other substances.

Use of Personal Information
Stewart may use or disclose the personal information we collect for one or more of the following purposes:

Stewart will not collect additional categories of personal information or use the personal information we collected for materially different,
unrelated, or incompatible purposes without providing you notice.
Disclosure of Personal Information to Affiliated Companies and Nonaffiliated Third Parties
Stewart does not sell your personal information to nonaffiliated third parties. Stewart may share your information with those you have
designated as your agent in the course of your transaction (for example, a realtor or a lender). Stewart may disclose your personal
information to a third party for a business purpose. Typically, when we disclose personal information for a business purpose, we enter a
contract that describes the purpose and requires the recipient to both keep that personal information confidential and not use it for any
purpose except performing the contract.
We share your personal information with the following categories of third parties:
• Service providers and vendors (For example, search companies, mobile notaries, and companies providing credit/debit card
processing, billing, shipping, repair, customer service, auditing, marketing, etc.)

CCPA rights and explains how to exercise those rights.

Access to Specific Information and Data Portability Rights
You have the right to request that Stewart disclose certain information to you about our collection and use of your personal information
over the past 12 months. Once we receive and confirm your verifiable consumer request, Stewart will disclose to you:
• The categories of personal information Stewart collected about you.
• The categories of sources for the personal information Stewart collected about you.
• Stewart's business or commercial purpose for collecting that personal information.
• The categories of third parties with whom Stewart shares that personal information.
• The specific pieces of personal information Stewart collected about you (also called a data portability request).
• If Stewart disclosed your personal data for a business purpose, a listing identifying the personal information categories that each
category of recipient obtained.
Deletion Request Rights
You have the right to request that Stewart delete any of your personal information we collected from you and retained, subject to certain
exceptions. Once we receive and confirm your verifiable consumer request, Stewart will delete (and direct our service providers to delete)
your personal information from our records, unless an exception applies.
Stewart may deny your deletion request if retaining the information is necessary for us or our service providers to:
1. Complete the transaction for which we collected the personal information, provide a good or service that you requested, take actions
reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform our contract with you.
2. Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such
activities.
3. Debug products to identify and repair errors that impair existing intended functionality.
4. Exercise free speech, ensure the right of another consumer to exercise their free speech rights, or exercise another right provided for
by law.
5. Comply with the California Electronic Communications Privacy Act (Cal. Penal Code § 1546 seq.).
6. Engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable
ethics and privacy laws, when the information's deletion may likely render impossible or seriously impair the research's achievement,
if you previously provided informed consent.
7. Enable solely internal uses that are reasonably aligned with consumer expectations based on your relationship with us.
8. Comply with a legal obligation.
9. Make other internal and lawful uses of that information that are compatible with the context in which you provided it.
Exercising Access, Data Portability, and Deletion Rights

Only you, or someone legally authorized to act on your behalf, may make a verifiable consumer request related to your personal information
You may also make a verifiable consumer request on behalf of your minor child.
To designate an authorized agent, please contact Stewart through one of the methods mentioned above.
You may only make a verifiable consumer request for access or data portability twice within a 12 -month period. The verifiable consumer
request must:
• Provide sufficient information that allows us to reasonably verify you are the person about whom we collected personal information or an
authorized representative.
• Describe your request with sufficient detail that allows us to properly understand, evaluate, and respond to it.
Stewart cannot respond to your request or provide you with personal information if we cannot verify your identity or authority to make the
request and confirm the personal information relates to you.
Making a verifiable consumer request does not require you to create an account with Stewart.
Response Timing and Format
We endeavor to respond to a verifiable consumer request within forty-five (45) days of its receipt. If we require more time (up to an additional
45 days), we will inform you of the reason and extension period in writing.

A written response will be delivered by mail or electronically, at your option.
Any disclosures we provide will only cover the 12 -month period preceding the verifiable consumer request's receipt. The response we provide
will also explain the reasons we cannot comply with a request, if applicable. For data portability requests, we will select a format to provide
your personal information that is readily useable and should allow you to transmit the information from one entity to another entity without
hindrance.
Stewart does not charge a fee to process or respond to your verifiable consumer request unless it is excessive, repetitive, or manifestly
unfounded. If we determine that the request warrants a fee, we will tell you why we made that decision and provide you with a cost estimate
before completing your request.
Non -Discrimination
Stewart will not discriminate against you for exercising any of your CCPA rights. Unless permitted by the CCPA, we will not:
• Deny you goods or services.
• Charge you a different prices or rates for goods or services, including through granting discounts or other benefits, or imposing
penalties.
• Provide you a different level or quality of goods or services.
• Suggest that you may receive a different price or rate for goods or services or a different level or quality of goods or services.
Chances to Our Privacy Notice
Stewart reserves the right to amend this privacy notice at our discretion and at any time. When we make changes to this privacy notice, we
will post the updated notice on Stewart's website and update the notice's effective date. Your continued use of Stewart's website
following the posting of changes constitutes your acceptance of such changes.
