PUBLIC TRAILHEAD AND TRAIL EASEMENT AC EEMENT
This Trallhead and Trail Easement Agreement ("Easement Agreement") is made
as of theJ6 a of, MAae 2025 byand between Westward Look Resort, LLC, an
Arizona limited liability company ("Grantor"), and the 'Town of Oro Valley, an Arizona
municipal corporation ("Grantee") collectively referred to ' herein as "Parties" or
individually as a "Party",
RECITALS
A. Grantor is the owner of the real property located in the Town of Oro Valley,
Arizona, described on Exhibit A attached'hereto ("Grantor's Property").
B. Grantee has requested an easement In favor of the public to use the traillicad
and trail on Grantor's Property, and Grantor has agreed to grant the same on
the terms subject to the conditions set forth herein..
COVENANTS
NOW, THEREFORE, in consideration of the foregoing recitals, which are incorporated
herein, and for other good and valuable consideration, the Parties hereto agree, grant, and
convey as follows on the terms and subject to the conditions set forth below;
I . Easement. Grantor hereby grants and conveys to Grantee, for the use and
benefit of the public, a non-exclusive casement over, upon, and across.
those portions of the Grantor's Property which are improved from time to
time, and are designated as, the "Trailhead" and "'frail", collectively the
"Trail Easement Area" for the purpose of recreational, non -motorized use
of the Trail Easement Area. See Attached Exhibit A for legal description
and location maps of the Trail Easement Area, Use by the Grantee shall
not limit the Grantor's ability to access the Trail Easement Area for the
purpose of developing nearby properties, Grantor shall not impair
Grantee's or the public's ability to use Trail Easement Area for the
activities set forth above.
2. Term. This will be permanent casement,

4. Notices, All notices, demands or requests, elections, or other
communications required, desired or permitted to be given by either Party
to the other shall be in writing and shall be either personally delivered or
deposited in the United States'mail, first-class registered or certified
postage prepaid, return receipt requested, and addressed to the Parties as
follows:

Notice given by personal delivery shall be deemed given and received upon
delivery to the appropriate addms, if the delivery is made during normal business
hours on a business day (and on the first business day following the day of
delivery if the delivery is made other than during normal business hours on a
business day).. Notice given by U.S. mail shall be deemed given upon deposit in
the U,S. mail and to have been received on the second business day following the
date on which it was given. Each party may from time to time designate, by a
notice given as provided herein, a different notice address.
5. Amendment, Modification, This Easement Agreement may be amended,
modified, or supplemented as provided herein or by an instrument in
writing, signed and acknowledged by the Parties to this agreement,
G. Construction.
a. This Basement,shall be construed in accordance with the laws'of
the State of Arizona.
b. The headings used in this Basement .Agreement are for
convenience only and shall not be deemed to be part of this
Basement Agreement for purposes of construction,

reference to the subject matter hereof are contained in this
Basement Agreement,

7, Trail Casement Area Maintenance, Notwithstanding any provision set
foilh above, Grantor, at its sole cost and expense, shall be solely
responsible for the maintenance and repair of the Trall Basement Area,
8. Indemnification. Loch Party (as "indemnitor") agrees to indemnify,
defend, and hold harmless, the other party (as "indemnitee") from and
Against any and all claims, losses, liability, costs, or expenses (including
reasonable uttontcy's fees) (hereinafter collectively referred' to as
"claims") arising out of the bodily injury of any person (including death)
or property damage, but only to the extent that such claims, which result in.
vicarious/derivative liability to the Indemnitee, and are caused by the act,
omission, negligence, 'misconduct, or other fault of the Indemnitor, its
officers, officials, agents, employees, or volunteers.
