Mr. James H. Nelson, Jr.
Real Estate Development

Tucson, AZ 85715
Re: Canada Verde Apartments - La Canada Drive, Town of Oro Valley
OV12-93-13
Dear Mr. Nelson:
As you are aware, the Town of Oro Valley is deeply concerned about the lack of progress of
referenced project. At the June 19, 1996 regular council meeting, the Mayor and Council, after
hearing from you and town staff, made the following motion:
"A MOTION was made by Vice Mayor Parisi that the developer provide perimeter
walls and landscaping complete with irrigation along La Canada Drive and those
areas adjacent to the golf course. Mitigation of erosion to be determined by the . • L L
Town Engineer and the Building Official. That the $12,500 bond be used for
hydroseeding to begin immediately and instruct staff to come back to the July 10,
1996 meeting with any other recommendations needed on how to proceed with
cleaning up the scar and to immediately move to correct the erosion problem.
Councilmember Jakaubauskas. SECONDED the motion. MOTION
UNANIMOUSLY carried 3-0. "
Subsequent to the Town Council meeting, Town staff has met with you and performed several
visits to the site. The site grading has been determined to be in non-compliance with the
conditions of the grading permit. The site conditions are also in violation of the Town of Oro
Valley Grading Ordinance. This office may issue a stop-work order per Art. 14-108 of the
Grading Ordinance. A stop-work order may invalidate the grading permit and may cause
processing of other Town of Oro Valley permits to be held in abeyance. You.have five (5) days
from the receipt of this letter to commence work on the following items:
• . . •
1. Construct a 5'0" high decorative masonry wall 15'0" easterly of the west property line.
•
0 Said wall shall be compatible with the architecture of the buildings along the west
property line. A 15'0" planting strip along and easterly of the west property line shall

be provided. This planting strip shall include a minimum of one tree per 20 lineal feet
and shall be covered with 2" of decomposed granite. The wall shall be designed for two
entrances and shall be left open at points of drainage easements. Submit plans of this
wall to the Town for approval before commencing with this item.
2. Hydroseed the entire project site, including those compacted areas prepared for future
buildings, parking areas, and driveways. Scarify as required and provide irrigation for
the hydroseed area to ensure germination and growth.
3. Repair all exposed cut and fill areas. Protect said areas as follows:
Slopes of 3:1 or flatter- hydroseed, install temporary irrigation system to ensure
germination and subsequent growth of the hydroseed mix.
.
Slopes of 2:1 to 3:1 - rip-rap with filter cloth; or cover with mulch, jute, or
excelsior netting and hydroseed. Hydroseed shall be irrigated.
Slopes of 1:1 to 2:1 - grouted or wire tied rip-rap.
Slopes of 1:1 or steeper - retaining structure designed by a structural engineer.
4. Start and complete rip-rap work in all areas requiring this work as shown on approved
project plans and as required in other areas of the site per #3 above.
5. Start and complete necessary retaining walls along the southern portions of the site as
shown on approved project plans and as required in other areas of the site per #3 above.
•
6. Start and complete gunite work as shown on approved project plans.
•
7. Replace, install and continuously maintain all erosion control devices per the Storm
Water Pollution Prevention Plan prepared for this project. Dispose of sediment currently
(and in the future) accumulated behind the silt fences by redistribution on-site or in a
manner acceptable to the Town Engineer.
8. Complete improvements to the northwest detention basin so that it is fully functional.
Improvements to the detention pond discharge should not be completed until downstream
erosion control elements have been installed.
•
9. Fine grade all drainage courses to ensure designed performance.
10. Repair and protect all eroded areas.
•
Mr. James H. Nelson
June 27, 1996
Page Three
11. Regrade or provide temporary drainage diversion devices to minimize drainage flow over
hydroseeded slopes.
12. Clear sediment from all drainage pipe and provide temporary sediment trapping devices
at all drainage pipe inlets. Said sediment trapping devices shall be continuously
maintained by the contractor. Dispose of sediment as in #7 above.
Install all drainage pipe and drainage structures along the eastern side of the site as
shown on the project plans.
14. The headwall behind the La Canada Drive cross-culvert outfall shall be backfilled and
the surrounding cut slopes dressed back and properly protected (see item #3 above).
Appropriate barricades shall be installed to protect pedestrians.
NOTE: All hydroseed areas shall be temporarily irrigated to promote germination and growth
of the hydroseed mix. Hydroseed areas shall be irrigated until erosion control is properly
established (1 year minimum).
Your offer of a temporary forty (40) foot construction easement along the western property line
for the La Canada Drive reconstruction project is acknowledged. However, we do not require
such an extensive easement to complete the project. The Town needs only those easementts
previously identified in correspondence to you. The previously requested easements should not
interfere with placement of a perimeter wall and landscaping along a majority of the La Canada
Drive frontage.
If you have any questions please contact myself or Jim Hossley on my staff. We can be reached
at 797-2442.

Project Certification
Dear Mr. Bieber:
I received your letter dated September 15,2000.
The acceptance of Canada Verde Associates of responsibility for any matters that are related to the
items that require certification by a Soils Engineer has been accepted by the Town of Oro Valley in
lieu of the required Soils Engineer's Certification Letter.
The site certification of construction of grading, paving and drainage improvements is complete.
With this letter I recommend that reseeding and restoration bonds currently on file with the Town
may be released when requested by the appropriate authority.
A copy of this letter will be provided to Shirley Gay, Town of Oro Valley Assurance Coordinator.
Please call (520-229-4823) if you have any questions regarding the above comments.
Sincerely,

ESCROW DEPOSIT ASSURANCE AGREEMENT
THIS AGREEMENT (the "Agreement") is made the day of Oc o6 ., 1996, by
and between Canada Luxury Development L.L.C. (hereinafter "Canada"), the Town of Oro
Valley (hereinafter "the Town"), and First American Title Insurance Company (hereinafter
"Escrow Agent").
RECITALS
1. Canada is the owner of an apartment site presently under construction on North La
Canada Drive in the Town.
2. Canada and the Town have been negotiating between themselves as to the nature
of assurances that should be forwarded to the Town pursuant to Article 4-9 of the Oro Valley
Zoning Code Revised ("hereinafter "the Code").
3. Such assurances are intended to resolve issues relating to soil stabilization,
drainage, landscaping, and related matters.
NOW THEREFORE, in consideration of the mutual covenants set forth below, the parties
hereto agree as follows:
1. Grading.Pennit. The Town is prepared upon execution hereof to reissue to Canada
a grading permit pursuant to Canada's approved grading plans in form substantially identical to
the permit previously held by Canada.
1. Recommence work. Upon reissuance of the said grading permit to Canada by the
Town, Canada agrees to recommence work promptly.
3. Nature of work. Canada shall complete items 1 through 12 and 14 of the letter to
Mr. James H. Nelson, Jr. from David Hook, Town Engineer, dated June 27, 1996. Item 2 of said
letter shall apply to the entire project site with the exception of proposed building pads. The
foregoing shall be referred to as the "Work." All Work performed hereunder shall be deemed
prosecution of construction pursuant to the building permit issued to Canada by the Town.

4. Assurances. The assurances to be provided to the Town ("Total Assurance") shall
be in the amount of$205,000.00. The Total Assurance shall be comprised of: a) a cash deposit
in escrow ("Escrow Cash Deposit") in the amount of $108,163.50 cash, and b) an additional
$96,836.50 presently held in escrow by Escrow Agent for the benefit of Borderland Construction
Co_ ("Borderland Deposit") pursuant to that certain Subcontract Agreement dated June 21, 1995,
between Canada and Borderland Construction Company_ Canada agrees that said monies are for
the sole purpose of completing the work outlined herein. It is understood that said Borderland
Deposit is fully pledged Borderland. Neither Canada nor the Town have the right to require
payment or disbursement of the Borderland Deposit. Said Borderland Deposit represents money
to secure payment to Borderland, which if not paid to Borderland during construction, shall
become a part of the assurances hereunder to the extent that assurances may remain necessary due
to Work not having been completed.
If for any reason the said Borderland Deposit is to be released to Canada or its affiliates,
however, and not paid to Borderland or its successors for actual work on Canada's site, then
Escrow Agent shall first confirm in writing with the Town whether Canada is in default of its
obligations hereunder or whether the Work contemplated hereunder has been completed.
If such default exists, according to the Town, or if the Work hereunder is not then
complete, and if Canada is otherwise entitled to receive said Borderland Deposit, then Escrow
Agent shall continue to hold said Borderland Deposit, for the Town, as security for compliance
by Canada with this Agreement_
Escrow Agent may rely upon written instruction from the Town and is released from any
liability in connection therewith.
This Agreement, as it relates to the Borderland Deposit, in no way affects the rights or
interests of Borderland and applies only in the event the deposit is not used on the site or is
otherwise refundable to Canada.
5. Terms of Escrow. The Escrow Cash Deposit (and the Borderland Deposit if it is
ever released to become a part of the assurance held for the benefit of the Town) shall be held
under the following terms:
a) The money shall be deposited in an interest-bearing, federally-insured
account. Interest thereon shall accrue to the benefit of Canada.
b). The Escrow Agent shall not disburse money from the account unless both
parties agree in writing to the disbursement, except as provided in part (c) below.
c) Progressive reductions in the total amount of assurances may be made. Such
reductions shall equal the cost of the work as presented by Canada and verified by

Town Engineer and the Building Official. That the $12,500 bond be used for
hydroseeding to begin immediately and instruct staff to come back to the July 10,
1996 meeting with any other recommendations needed on how to proceed with
cleaning up the scar and to immediately move to correct the erosion problem.
Councilmember Jakaubauskas SECONDED the motion.
You-have five (5) days
from the receipt of this letter to commence work on the following items:
1. .Construct a 5'0" high decorative masonry wall 15'0" easterly of the west e pro line.
Said property
wall shall be compatible with the architecture of the buildings along the west
property line.

Slopes of 3:1 or flatter - hydroseed, install temporary irrigation system to ensure
germination and subsequent growth of the hydroseed mix.
•
Slopes of 2:1 to 3:1 - rip-rap with filter cloth; or cover with mulch, jute, or
excelsior netting and hydroseed. Hydroseed shall be irrigated.
Slopes of 1:1 to 2:1 - grouted or wire tied rip-rap.
Slopes of 1:1 or steeper - retaining structure designed by a structural engineer.
4. Start and complete rip-rap work in all areas requiring this work as shown on approved .-
project plans and as required in other areas of the site per #3 above.
5. Start and complete necessary retaining walls along the southern portions of the site as
shown on approved project plans and as required in other areas of the site per #3 above.
•
• 6. Start and complete gunite work as shown on approved project plans.
Mr. James H. Nelson
June 27, 1996
Page Three ,.
r '
13. Tnstall all drainage pipe and drainage structures along the eastern side of the site as
shown on the project plans.
14. The headwall behind the La Canada Drive cross-culvert outfall shall be backtllled and
the surrounding cut slopes dressed back and properly protected (see item #3 above).
The Town needs only those easements
previously identified in correspondence to you. The previously requested easements should not •
interfere with placement of a perimeter wall and landscaping along a majority of the La Canada
Drive frontage.
If you have any questions please contact myself or Jim Hossley on my staff. We can be reached
at 797-2442.

TO: Jim Hossley, Department of Public Works
FROM: Don Chatfield, Planning and Zoning Director
RE: Canada Verde Assurances
DATE: November 6, 1996
After review of the documentation pertaining to the Canada Verde assurances, the Planning and
Zoning Department is unable to approve the renewed grading permit. In order to grant our part
of the approval, we will need the following additional information:
• cost information for the completion of the masonry wall -- the estimate from
Royce does not include stucco, paint, or site preparation.
• cost information from a landscape installer indicating that trees, shrubs,
groundcover, and irrigation can be installed for the proposed amount.
• proof of Town access to adequate funding to complete landscape if the project
should default.
Please contact Mr. Nelson and let him know that we will require this additional information. We
will be happy to meet with him if he needs further direction from our department.
As soon as we receive sufficient additional information, we will be happy to release this grading
permit. Please contact us if you need more information.

HAND-DELIVERED
Mr. Don Chatfield
Town of Oro Valley
11000 North La Canada
Oro Valley, AZ 85737
Dear Don:
Following our conversation yesterday, I spoke at length with our client Canada Verde
Associates ("Canada Verde"). Canada Verde is anxious to begin work on the site.
I enclose cost estimates our client received from Able Earth Environmental Design,
Mirage Plastering, Royce Corporation, and Vista Painting, Inc. These are provided to you
based upon the concerns you expressed yesterday. As you can see, the estimated costs,
including a 20 percent adjustment, is $43,116.00. The amount of the assurance for these
particular items agreed upon in negotiations with staff was approximately $51,000.00. Hank
Nelson is of the opinion that Canada Verde has established a buffer considerably in excess of
what would actually be required.
We ask that you please review these materials and let us know whether you have any
additional concern with regard to this subject.
On a related matter, you inquired as to how soon the work would commence after
issuance of a grading permit. Hank Nelson believes that Borderland is fairly busy and will
require some reasonable notice to schedule its contractors and subcontractors after the grading
permit is released and schedules are more definite. What our client will commit to do is to
member: LEX MUNDI,a global association of independent law firms with members in
the united states and 60 countries throughout the world.
