WITNESSETH WHEREAS, the parties anticipate that Lessor shall acquire the subject property through an action in eminent domain; and WHEREAS, the parties have agreed that the Lessee and property caretaker may remain on the subject property for up to twelve (12)month from the completion of the eminent domain transaction; and p p WHEREAS, the Lessee agrees to assume certain caretaking responsibilities while in occupancy of the subject property; NOW, THEREFORE, the Lessee and the Lessor, in consideration of the mutual promises as hereafter set forth, mutually agree as follows: I. D) The Lessorresponsible shall be for all upkeep of the property, excluding the landscaping and vegetation which shall be maintained in its current condition by the Lessee. p E) The Lessor shall be responsible for any major maintenance or repairs in excess of$500.00 on the 2 residences and any appurtenant and adjoining buildings on the property. All horses must be removed from the property upon termination of this agreement. F) The Lessee shall remove all personal property upon termination of the lease agreement. The Lessee shall assume the settlement of, and the defense of any suit or suits or other legal proceedings brought to enforce all such losses, damage, injuries, claims, demands, and expenses and shall pay all judgments anentered in such suit or suits or the legal proceedings, the provisions of this Y Section shall survive termination of this Agreement. XV. MISCELLANEOUS PROVISIONS Jurisdiction. (R) 05- 76 A RESOLUTION OF THE MAYOR AND COUNCIL OF THE TOWN OF ORO VALLEY, ARIZONA, RELATING TO THAT REAL PROPERTY KNOWN AS STEAM PUMP RANCH (Northwest side of Oracle Road, at Hanley Boulevard, Oro Valley): FINDING THAT IMPROVEMENTS OF HISTORIC VALUE RELATING TO THE FOUNDING AND DEVELOPMENT OF ORO VALLEY ARE LOCATED ON PART OF THE REAL PROPERTY ("THE SUBJECT PARCEL"), THAT PROTECTION AND PRESERVATION OF SUCH HISTORIC IMPROVEMENTS AS PART OF A PUBLIC PARK OR CENTER IS AN AUTHORIZED PUBLIC USE, AND THAT ACQUIRING THE SUBJECT PARCEL IS NECESSARY TO THAT PUBLIC USE, AUTHORIZING THE TOWN MANAGER AND THE TOWN ATTORNEY, PURSUANT TO A.R.S. § 12-111, et seq., TO COMMUNICATE A WRITTEN OFFER SUPPORTED BY AN APPRAISAL, TO PURCHASE THE SUBJECT PARCEL; AND AUTHORIZING THE TOWN MANAGER AND THE TOWN ATTORNEY TO TAKE ALL ACTIONS NECESSARY TO PROCEED WITH A CONDEMNATION ACTION IN THE EVENT THE PARTIES ARE UNABLE TO COME TO AGREEMENT WHEREAS, Oro Valley has the requisite statutory authority to acquire land for the benefit of the public and residents of the Town of Oro Valley; and WHEREAS, Oro Valley is a municipal corporation within the State of Arizona, is vested with all the rights, privileges and benefits and entitled to the immunities and exemptions granted to municipalities and political subdivisions under the Laws of the State of Arizona; and WHEREAS, the property in question, located within the Town of Oro Valley as depicted in Attachment 1, attached hereto, has improvements of historic value relating to the founding and development of Oro Valley; and WHEREAS, acquisition of the property in question is necessary to protect and preserve such historic improvements as part of a public park or center and acquiring the subject property is necessary to that public use; and WHEREAS, the Town Council has deemed it necessary, in the interest of the public and residents of the Town of Oro Valley, to authorize the Town Attorney to proceed with the condemnation proceedings against the property depicted in Attachment 1, in order to ensure that Steam Pump Ranch remains part of the historic value of Oro Valley.
