A RESOLUTION OF THE MAYOR AND TOWN COUNCIL
OF THE TOWN OF ORO VALLEY, ARIZONA,
AUTHORIZING TOWN STAFF TO PROCEED WITH
PROPERTY ACQUISTION OF 3.54 ACRES FROM THE
CHURCH OF APOSTLES AT TANGERINE AND LA
CHOLLA INTERSECTION FOR THE ALIGNMENT OF THE
TANGERINE/ LA CHOLLA INTERSECTION.
WHEREAS, the Tangerine Road/ La Cholla intersection alignment within
the Town's right of way is necessary to the public health, safety, and welfare
in order to provide for the safe and effective movement of vehicular,
pedestrian traffic; and,
WHEREAS, the Town Council deems it necessary, in the interest of providing
for the health, safety, and welfare of the citizens of Oro Valley to authorize
the Town staff to proceed with the acquisition of 3.54 acres from the Church
of Apostles for the alignment of Tangerine/La Cholla intersection.
THEREFORE, BE IT RESOLVED, BY THE MAYOR AND THE TOWN
COUNCIL OF THE TOWN OF ORO VALLEY, ARIZONA:
Authorizing the Town staff to proceed with the acquisition of 3.54 acres from
the Church of Apostles for the alignment of Tangerine/La Cholla intersection.
PASSED AND ADOPTED by the Mayor and Town Council of the Town of
Oro Valley, Arizona this 16 day of OCTOBER, 2002.

RESOLUTION OF THE BOARD OF TRUSTEES
OF
THE EPISCOPAL DIOCESE OF ARIZONA
WHEREAS, The Episcopal Diocese of Arizona (the "Diocese") is the owner of
approximately 35.80 acres of land on the northwest corner of Tangerine Road and La
Cholla Boulevard (the "Property") in the Town of Oro Valley, Arizona ("Oro Valley")
and
WHEREAS, the Property is intended to be developed for use by the Church of the
Apostles (the "Apostles") as Apostles' principal place of worship; and
WHEREAS, as part of the development of the Property Oro Valley requires a
perpetual water utility easement and right-of-way for the construction, maintenance and
operation of a water pipeline and appurtenances in, over, under and across a portion of
the Property (the "Easement"); and
WHEREAS, the architect retained by Apostles and the Diocese for the
development of the Property advised Apostles and the Diocese the location of the
Easement would not interfere with the planned development of the Property; and
WHEREAS, it is in the best interest of the Diocese and Apostles to grant the
Easement to Oro Valley; and
WHEREAS, Oro Valley intends to widen La Cholla Boulevard and intends to
acquire 3.54 acres of the Property (the "Right-of-Way") for the widening of the road; and
WHEREAS, Oro Valley provided the Diocese with an appraisal of the Right-of-
Way indicating a fair market value of $74,340 and indicating no severance damages to
the remainder of the Property due to the acquisition, and
WHEREAS, Apostles obtained an opinion that the value of the Right-of-Way is
$84,250 assuming no severance damage to the remainder of the Property; and
WHEREAS, Oro Valley offers to purchase the Right-of-Way for $84,250 in lieu
of condemning the Right-of-Way; and
WHEREAS, Apostles and the Diocese believe it is the best interest of both to sell
the Right-of-Way to Oro Valley for $84,250;
NOW THEREFORE, IT IS RESOLVED BY THE BOARD OF TRUSTEES OF
THE EPISCOPAL DIOCESE OF ARIZONA AS FOLLOWS:
1. The President of the Diocese is authorized to execute and deliver the
Easement and any and all other documents necessary or desirable in connection therewith

on behalf of the Diocese when the grant of the Easement is consented to in writing by the
Bishop and the Standing Committee of the Diocese.
2. The President of the Diocese is authorized to execute and deliver all
deeds, escrow instructions, affidavits and other documents and instruments necessary or
desirable to effect the sale of the Right-Of-Way to Oro Valley for a purchase price of
584,250 when the sale of the Right-of-Way has been consented to in writing by the
Bishop and the Standing Committee.
I certify that the foregoing is an accurate copy of the resolutions of the Board of
Trustees of The Episcopal Diocese of Arizona, an Arizona nonprofit corporation, duly
adopted by the Board of Trustees at a meeting duly called and held on September 20,
2002, and the resolutions have not been revoked or rescinded.
