valuable consideration, the receipt and sufficiency of which are hereby acknowledged, The Episcopal
Diocese of Arizona, formerly known as The Diocese of Arizona, an Arizona nonprofit corporation
("Grantor"), hereby conveys to the Town of Oro Valley, a political subdivision of the State of Arizona,
the following real property situated in Pima County, Arizona, together with all rights and privileges
appurtenant thereto,to-wit (the "Property"):
See Exhibit "A" attached hereto and incorporated herein by this reference for the
legal description.
Subject to taxes and assessments not yet delinquent, reservations in patents and all
easements, rights of way, encumbrances, liens, covenants, conditions, restrictions, obligations and
liabilities as may appear of record; and such state of facts as would be disclosed by an inspection or
accurate ALTA survey of the Property; the Grantor warrants the title as against all acts of the Grantor
and no other.

Dear Mr. Znomo:
In connection with the above captioned transaction please find attached a HUD I
Settlement Statement reflecting proceeds from buyer of$84,850.00. I have also enclosed
wiring instructions as Arizona has adapted a "good funds" law and checks can no longer
be accepted for final closing.
I have this date forwarded to The Diocese of Arizona, in Phoenix, all closing documents
for signature and return to our office as soon as possible. Upon receipt of these
documents I will be contacting your office for an appointment to complete the transfer by
securing the necessary signatures by Oro Valley.
Once all signature have been secured and funds received I will record the Warranty Deed
and finalize the transfer of property to Oro Valley.
I trust you will find the HUD I in order, however, should you have any questions
regarding the costs or fees please don't hesitate to contact me.

The undersigned Seller, responsible for payment of taxes at close of escrow,herebyacknowledges that he/she acg will pay
any additional interest and/or penalties incurred after close of escrow, if, due to no fault of the Escrow Agent, the
Treasurer's Office does not post payments received in a timely manner. If such additional interest and/or
penalties are
due, said undersigned Seller shall, within five (5)business days and upon written demand from American TitleAgency

Pima County, Inc., remit to Escrow Agent the sum requested for payment of same.
