Every corporation must p submit an annual report once a year. 1 nis annual report must be correctly filled out and submitted by assigned assi ned due date or the corporation may be administratively dissolved or have its authority revoked by the State of Arizona. This is the only notice you will receive. According to A.R.S. §10-1622.F, penalties accrue on business corporation annual reports which are submitted late (after the due date). Corporations must use the annual report form prescribed by the Corporation Commission. No other format is allowed. Each annual report must be accompanied by the filing fee of $45.00 for Business/Profit Corporations, $10.00 for Non-Profit Corporations. Make sure the check is properly completed and signed. The State does not accept checks drawn from non-U.S. banks. • Penalty amounts must be attached if the report is overdue. Penalties begin to accrue the day after the due date, at a rate of $9.00 per month for Business/Profit Corporations. Penalties are dictated by law (A.R.S. § 10.1622.G). Corporations are responsible for their own tardiness. Non-Profit Corporations are not required to pay penalties after January 1, 1999. • The Certificate of Disclosure must be complete - One box must be checked for section 10, 11A & 11B. Additionally, an officer of the corporation must verify the information, sign and date the report. See the instructions(p.4,numbers 7 and 12) for signature requirements. • Examine your corporation's stated life/duration to make sure it is not in danger of expiring. • Make sure the Commission's form indicates the correct corporate information for your entity. Corrections and updates to the annual report form can be made by striking out incorrect data and neatly writing in corrections. Do not use metallic address stickers because they do not reproduce properly on our imaging system. Follow These Suggestions to Keep Your Corporation from Being Revoked or Administratively Dissolved: 1. If You Move,Tell Us: Notify the Commission, via letter or FAX (602)542-3414 of any change to the corporate address. The letter stating the address change must be executed(signed)by a duly authorized officer. The Commission is prohibited by law from taking any instruction about the corporate address from the U.S. Postal Service. Mail from the Commission cannot be forwarded. A.R.S. §§10-501, 10-1507, 10-3501 & 10-11507 require that all Corporations maintain a current address with the Commission. Corporations with undeliverable addresses are subject to revocation/administrative dissolution by the Commission. Letters stating corporate address changes are given top priority by the Commission, while changes on Annual Reports are subject to review and the Division's backlog. 2. If Your Statutory Agent Moves,Tell Us: Again, statutes require that all corporation Statutory Agents keep a current address with the Commission.The annual report form now has spaces for both a physical address and mailing address. Strike incorrect addresses and neatly write the correct addresses below them. 3. Know Your Corporation's Annual Report Due Date So That You Can Submit The Report in a Timely Manner: All corporations must file an annual report once each year. The new due date for the corporation is printed on the top, left side of the annual report form. Corporations should receive their blank forms with the file number, name, and address preprinted approximately two months prior to the corporation's report due date.Contact the Annual Reports Section of the Corporations Division at 602-542-3285 if your corporation fails to receive an annual report form in the proper time period. Limited Liability Companies are not required to file an annual report. 4. Use The Annual Report Form Provided by The Commission. Do Not Create Your Own Form-It's Against The Law-Never change the corporate name,due date,filing number or fee amount printed on the form. Check our web site regularly (www.cc.state.az.us) for legal updates, instructions, or forms. Additionally, the Legislature's web site (www.azleg.state.az.us) has the complete text of Title 10 (corporation law) and Title 29 (L.L.C. law). Their site also lists bills being considered that affect these two titles. ANSWER: Business corporations no longer need to submit a financial disclosure. Only nonprofit corporations must file financial disclosure forms. See instructions on page four, section 9 of the QUESTIONS AND -Annual Report. Note: For the purposes of the Corporation f Commission, a corporation's own fiscal year is not relevant if they ( ANSWERS: are no longer required to file a financial disclosure. ANNUAL REPORTS 2) QUESTION: Why Can't I Use My Own Form? ANSWER: Pursuant to A.R.S. §§ 10-121.A & 10-3121.A, Annual Reports,"...shall be made on the forms that are prescribed and furnished by the commission." Other forms will not work with our computerized imaging system. In the past, when the Division tried allowing privately generated forms, too many instances occurred where the public was illegally manipulating the verbiage on the forms(via various omissions and unauthorized changes). Staff was forced to scrutinize the privately generated Annual Report form word-by-word looking for illegal substitutions or additions. Incomplete reports were running at over 50%. The errors,problems and delays resulting from the private forms were enormous. Recent audits of the Corporations Division cited non-commission forms as a major problem and suggested their elimination. Extra copies of the annual report form are available. They can be picked up, mailed or faxed to corporations. Please allow 24 hours to process your request. 3) QUESTION: Does the public have access to copies of the annual report? ANSWER: Yes. The annual report is part of the official public record, including addresses cited. Do not include your social security number, unless you answer "yes" on the certificate of disclosure on page three of the annual report. 4) QUESTION: Are there certain parts of the annual report form I am not allowed to update? ANSWER: Yes,a corporation cannot change its annual report due date, fee,filing number, state of domicile or corporate name on the annual report form. Contact the Commission if you have a problem with any of these areas. 5) QUESTION: The annual report for our corporation was returned to us for a correction. The notice states we have 30 days to make the correction. What if we previously had an extension? Do we get more than 30 days? ANSWER: NO,A.R.S. §§ 10-1622.E & 10-11622.D state the corrected reports must be"...delivered to the commission within thirty days after the effective date of the notice, [if] it is deemed to be timely filed." Extensions are only relevant for the initial report filing,not subsequent correction notices. Business Corporations begin to accrue penalties pursuant to A.R.S. § 10-1622.G. if the corrections are not made within the 30 day period. 6) QUESTION: What is the annual reports section's phone number? Corporations Beware! : The Arizona Corporation Commission is NOT affiliated with"The Corporate Compliance liance Center". Watch out for their mailing. It will look very similar to the Commission's Annual Report Form.
