Every corporation in Arizona must submit an Annual Report to the Corporations Division of the Arizona Corporation Commission once a year. This is the only notice and form you will receive. Corporations must use this Annual Report Form prescribed and furnished by the Arizona Corporation Commission. No other form or format is allowed. The Commission's computerized imaging system cannot work with other forms or formats. IMPORTANT: This Annual Report must be correctly filled out and submitted by the assigned due date or the corporation may have its authority and operating status revoked by the State of Arizona. Use the check off boxes on this sheet as you complete the form. The Corporation Commission has completed the form with information we have available regarding the corporation. In an effort to serve.you ibetter,a number of changes are being implemented to improve the Annual Report process for ArizonaCorporations. As a result of legislation that becomes effective in July 1997(Arizona Fiscal Year 1998),thArizona Corporation Commission's Corporations Division will implement a program to stagger the due dates of corporate Annual Reports evenly throughout the year. The new system will eliminate the excessively large April peak filing period that-has created numerous problems and prevented the Corporations Divisionifrom operating in an efficient manner. Additionally,the Annual Report will require a fmancial disclosure statement only from corporations that meet one of the following criteria: 1)The corporation is Nonprofit. 2)The corporation is a public service corporation(e.g.,utility)as defined in Article XV, Section 2,Constitution of Arizona. 3)The corporation offers its stock for sale in transactions that are not exempt from sections 44-1841 and 44-1842 as prescribed in section 44-1844,subsection A. Paragraph 1. Therefore,if a corporation is nonprofit,or a public service corporation,or publicly traded it is subject to financial disclosure requirements. In this situation,the Annual Report due date will most likely not be affected,it will,in most cases,remain in the fourth month after the close of the corporation's fiscal year. Most existing corporations will not be subject to these fmancial disclosure filing requirements. They will have a new Annual Report due date assigned to them by the Commission. The Commission will alphabetically,by corporation name,reassign due dates to existing corporations. This process will take place between July 1, 1997 and June 30, 1998. The due date for your corporation is the date that appears on the top,left-side of the front page of the Annual Report form that is attached to this letter. The corporation can expect this new due date(day and month)to be their permanent due date for future Annual Reports. NOTICE: Corporations who have previously been granted an extension relating to an Annual Report originally due in Fiscal Year 1997(July 1,1996-June 30,1997),must still submit that outstanding Annual Report. All of the changes mentioned above necessitated a revision of the Annual Report form. The Annual Report must be submitted on the preprinted form supplied by the Commission. ANSWER: Two legislative bills(H2291& H2531)were introduced and signed into laws a means of creating a more efficient*and cost saving Annual Report system. One new law eliminated the need to submit financial disclosures for most corporations. The other authorized the Commission to stagger the due dates to more evenly spread the reports across the course of the year. Additionally,the form has been revised to make it easier to use and to reduce the 50%error rate that had occurred in the past. 2) QUESTION: My corporation paid in April. Now we are due again. Are we being.overcharged? ANSWER: No. The Corporation Commission'is notcollecting fees twice from corporations:We collect only one$45 profit/$10 nonprofit annual report feeper year. "Year"is the state of Arizona's fiscal year-July 1 thru June 30---365 days. The new due date for an annual report for a corporation may be changed,but the time period for an annual report remains the same 12 months July 1 to June 30. Example: "BB&B Corporation". Under the old system their report was due April 15, 1997. Under the new system their report is due August 9, 1997. In the future,their report will be due every August 9. Therefore,under the old system the corporation made one payment on April 15, 1997 in FY96-97. It covered(paid for)a 365 day period. Under the new system,their one payment for the year will be due on their new due date(August 9, 1997)in FY97-98. It too will cover 365 days. The annual filing fee covers the same July to June period regardless of the actual date the report is filed and the fee is paid. No proration was necessary because ALL Arizona corporations were assigned only one due date within the period between July 1,1997 and June 30,1998. This is the only payment option as the Arizona Legislature has never appropriated funding for prorated billing of annual reports. 3) QUESTION:Are fmancial disclosures still required? ANSWER: Most profit corporations no longer need to submit a fmancial disclosure. Only those corporations that are publicly traded,public service,or nonprofit must file financial disclosure forms. Instructions about what types of fmancial disclosure are acceptable are found on page four, section 9 of the Annual Report. It should also be noted that for the purposes of the Corporation Commission,a corporation's own fiscal year is not relevant if they are no longer required to file a fmancial disclosure. 4) QUESTION:WHY CAN'T I USE MY OWN FORM? ANSWER: Pursuant to§§ 10-121.A.and 10- 2545.A, Annual Reports,"...shall be made on the forms that are prescribed and furnished by the commission." Other forms will not work with our computerized imaging system. And next year,when the bar-code system is implemented,the public will not be able to produce the necessary bar coding. In the past,when the Division tried allowing privately generated forms, too many instances occurred where the public was illegally manipulating the verbiage on the forms(via various omissions and unauthorized changes). Staff was forced to scrutinize the privately generated Annual Report form word-by- word looking for illegal substitutions or additions. Incomplete reports were running at over 50%. The errors,problems and delays resulting from the private forms were enormous. The public was poorly served.By the time the reports were finally updated and put into the system,the public record was often over a year behind or the corporation had already been revoked. Recent audits of the Corporations Division sited non-commission forms as a major problem and suggested their elimination. Furthermore,the commission preprints the majority of the information required of the corporation on the form using blue ink (for the corporation information)on a black and white form. This system allows corporations to verify commission records and make changes as necessary. Adjustments to the form are readily apparent. Privately generated forms do not offer the same advantage because corporations cannot verify the information on file at the commission. Additionally,the funding from the legislature for the Corporations Division is not sufficient to implement another form of electronic filing at this time. Extra copies of the annual report form are available. They can be picked up,mailed or faxed to corporations. ary&a9-13-97
